قرار مجلس شؤون الجامعات (٥٥/٦) وتاريخ ١٤/١٤
ان مجلس شؤون الجامعات
بناء علي الصلاحيات المحوله له نظاما
وبنا علي البند (ثانيا) من المرسوم الملكي رقم (٢٧/٣) وتاريخ (٢٧/٣) ه، الذي يقضي
بان "يمارس مجلس شؤون الجامعات مهماته و اختصاصاته المنصوص عليها في النظام من تاريخ
نشره في الجريده الرسميه، والبند (رابعا) من المرسوم الملكي الكريم المشار اليه الذي يقضي
بان "يمارس مجلس شؤون الجامعات صلاحيات مجلس التعليم العالي (الملغي) الوارده في نظام
مجلس التعليم العالي والجامعات".
وبناء علي الماده (السباعه) من نظام الجامعات التي تقضي بان من اختصاص مجلس شؤون الجامعات، في الفقره (٣) "اقرار الوايج الماليه، والاداريه، والاكاديميه للجامعات"، وفي الفقره (٤) "اقرار الوايج المنظمه للاستثمار والايرادات الذاتيه للجامعه"، وفي الفقره (٥) "اقرار الوايج المنظمه لقبول التبرعات والهبات والوصايا واليه الانفاق منها:
يقرر ما يلي:
اولا: اقرار اللايحه المنظمه لاداره الاوقاف في الجامعات وفق الصيفه المرفقه بهذا القرار، و تطبيقها
علي جميع الجامعات الحكوميه.
ثانيا: تلتزم الجامعات بتعديل اوضاء الاوقاف القايمه فيها خلال العام الجامعي (١٤٤٥) وذلك بما
يTقي مع احكام هذه اللايحه.

المستند النظامي لمشروع اللايحه:
الفقره (٦) من الماده (الخامسه) من نظام مجلس التعليم العالي
والجامعات الصادر بالمرسوم الملكي رقم (٨) وتاريخ ٤/١٤/١٤١٥، التي تقضي
بان من اختصاصات مجلس التعليم العالي (مجلس شؤون الجامعات)
«اصدار اللوايح المشركه للجامعات».
• الفقره (٢) من الماده (الثالثه والخمسون) من نظام مجلس التعليم العالي
والجامعات، التي تنص علي ان ايرادات الجامعه «التربات والمنح
والوصايا والاوقاف.
• الفقره (ب) من الماده (الرابعه والخمسون) من نظام مجلس التعليم العالي
والجامعات، التي تنص علي «مجلس الجامعه قبول التبرعات، والمنح،
والوصايا، والاوقاف الخاصه بالجامعه، كما يجوز له قبول التبرعات المQTايله
بشروط، او المخصصه لاغراض معينه، اذا كانت الشروط او الاغراض تنفق مع
رساله الجامعه، وتدرج هذه التبرعات في حساب مستقل تصرف في الاغراض
المخصصه لها وفقا للقواعد التي يضعها مجلس التعليم العالي».
• الفقره (٦) من الماده (السباعه) من نظام الجامعات الصادر بالمرسوم الملكي رقم
(٢٧/٢) وتاريخ ١٣/٣/٢، التي تقضي بان من اختصاصات مجلس شؤون
الجامعات (اقرار اللوايح المنظمه لاداره الاوقاف في الجامعات بالتنسيق مع
الهينه العامه للاوقاف.

اللذحه المنظمه لاداره الاوقاف في الجامعات
الفصل الاول: التعريفات والاهداف
الماده الاولي:
يقصد بالغاظ والعبارات الاتيه - اينما وردت في هذه اللايحه - المعاني المينيه
امام كل منها، ما لم يقتض السباق خلاف ذلك:
الوقف الجامعي: جميع الاوقاف التي تنشا في الجامعه او تتبع لها.
الواقف: spch الضيحي او الاعتباري الذي ينش الوقف للجامعه او
الجهات التابعه لها.
النظاره: ولايه اجراء التصرفات التي تحقق الغبطه والمصلحه لعين الوقف، وايراده، وذلك بحفظه، واستثماره، وتنميته واصلاحه، والمخاصمه فيه وصرف غلته، وفقا لشرط الواقف.
الناظر: spsss ذو الصفه الطبيعيه او الاعتباريه الذي يتولي نظاره الوقف
الجامعي.
مجلس النظراء: السلطه المختصه بالاشراف علي الوقف الجامعي وادارته
ومتابعته.
مجلس الوقف الجامعي: مجلس الجامعه في الجامعات التي تطبق
نظام مجلس التعليم العالي والجامعات الصادر بالرسوم الملكي رقم (٨/٧) وتاريخ
٤/١٤/٦ ه، او مجلس الامناء في الجامعات التي تطبق نظام الجامعات الصادر
بالرسوم الملكي رقم (٢٧/٢) وتاريخ ٤/١٤/٦ ه، وفق النظام المطبق في الجامعه.
الامانه العامه: الامانه العامه لمجلس النظاره.

الماده الثانيه:
تهدف هذه اللاححه الي:
1. تنظيم انشاء واداره الاوقاف في الجامعات.
٢. تحديد المسؤوليات والصلاحيات الماليه والاداره لوقف الجامعه.
٣. توجيه لوقف الجامعي نحو تحقيق اهداف الجامعه.
٤. تحقيق متطلبات الحوكمه اللازمه لاداره الاوقاف في الجامعات.
الفصل الثاني: الطبيعه النظاميه للوقف الجامعي
الماده الثالثه:
يتمتع الوقف الجامعي بالشخصيه المعنويه المستقله التي تخوله حق التملك
والتصرف، اداره واشراف مجلس المنظاره، وتجري معاملاته وفق الضوابط الشرعيه
والنظاميه والمارسات المهنيه المتعارف عليها بما لا يتعارض مع شرط الواقف، ويكون
مقر ادارته داخل الجامعه، وله انشاء فروع اخري بالمملكه حسب الحاجه.
الفصل الثالث: اهداف الوقف الجامعي
الماده الرابعه:
يهدف الوقف الجامعي الي دعم الجامعه وانشطتها وبرامجها ومشاريعها بما يحقق
اهدافها ويساهم في تنميه مواردها وتحقيق الاستدامه الماليه لها بما لا يتعارض مع
شرط الواقف.

الفصل الرابع: مجلس الوقف الجامعي
الماده الخاصه:
يكون للوقف الجامعي مجلس يسمي «مجلس الوقف الجامعي», ويتولي المهام التاليه:
١. اقرار استراتيجيه الوقف الجامعي وسياساته العامه.
٢. اقرار القواعد الداخليه المنظمه لسير العمل.
٢. اعتماد الهيكل التنظيمي للوقف الجامعي.
٤. اعتماد الميزانيه السنويه للوقف الجامعي.
٥. تاسيس الشركات والكيانات التابعه للوقف الجامعي او المشاركه في تاسيس الشركات
او الدخول فيها شريكا او مساهما وفقا للاجراءات النظاميه المتبعه.
٦. الموافقه علي انشاء فروع للوقف الجامعي داخل المملكه.
٧. تعيين اعضاء مجلس النظاره.
٨. تعيين مراجع خارجي لحسابات الوقف الجامعي.
٩. اقرار السياسات والاجراءات الماليه والمحاسبه للوقف الجامعي.
١٠. اعتماد الحساب الختامي والتقرير السنوي للوقف الجامعي.
١١. ابراء ذمه رييس مجلس النظاره واعضاء المجلس.
١٢. تحديد الاجور والمكافات والمزايا للعاملين في الوقف الجامعي وتنظيمها.
وللمجلس تنفيض بعض صلاحياته لرييسه او من يراه لمباشره عمل او اعمال معينه
مما يدخل في اختصاصاته، وله تشكيل لجان دايمه او مؤقته من اعضايه او من
غيرهم لدراسه ما يكلفها به.
الماده السادسه:
يجتمع مجلس الوقف الجامعي مرتبين في السنه علي الاقل، ولرييس المجلس ان
يدعو للاجتماع كلما دعت الحاجه الي ذلك، ولا تصح اجتماعاته الا بحضور ثلثي
اعضايه علي الاقل، علي ان يكون من بينهم رييس المجلس او ثانيه، وتصدر قراراته
باغلبيه اصوات الاعضاء الحاضرين علي الاقل، وعند التساوي يرجح الجانب الذي
صوت معه رييس الاجتماع، ولرييس المجلس دعوه من يراه ل حضور الاجتماع دون ان
يكون له حق التصويت، ويصح الحضور بواسطه وسايل الاتصال المرييه او المسوعه
عند الافتضاء.

الفصل الخامس: مجلس النظاره الجامعي
الماده السابعه:
يكون للوقف الجامعي مجلس نظاره، يتكون من رييس الجامعه (رييس) وعدد تسعه
اعضاء علي الاكثر من اهل الخبره والكفاءه والënخصص في مجال الاوقاف من داخل
الجامعه وخارجها، ويكون من بينهم عضو او اكثر من الواقفين او ممن يرشحونهم،
ويصدر بتعيينهم قرار من مجلس الوقف الجامعي - بناء علي ترشيح رييس الجامعه
- لمده شلات سنوات قابله للتجديد مره واحده.
الماده الثامنه:
يحتمع مجلس النظاره بناء علي دعوه من رييسه اربعه اجتماعات علي الاقل في العام المالي، ولرييس المجلس ان يدعو المجلس للاجتماع اذا دعت الحاجه الي ذلك، او اذا قدم ثلث اعضايه علي الاقل طلبا مكتوبا بذلك، ولا يصح انعقاد المجلس الا اذا حضر الاجتماع ثلثا اعضايه علي الاقل، علي ان يكون من بينهم رييس المجلس او من ينبيه من الاعضاء، وتصدر قراراته باغلبيه اصوات الحاضرين، وعند التساوي يرجج الجانب الذي صوت معه رييس الاجتماع، ويصح الحضور بوسطه وسايل الاتصال المرييه او المسموعه عند الافتضاء، ولرييس مجلس النظاره دعوه من يراه لحضور الاجتماع دون ان يكون له حق التصويت.
الماده التاسعه:
يتولي مجلس النظاره عددا من الهمات منها:
١. الاشراف علي الوقف الجامعي وادارته.
٢. الاشراف علي نظار اوقاف الجامعه ومتابعه اعمالهم دون الاخلال بشرط الواقف
ان وجد.
٣. تعيين نظر للاوقاف التي لم يحدد لها ناظر من الواقف وفقا لشروط واجراءات
تعيين الناظر في انظمه ولوايح الهييه العامه للاوقاف.
٤. اقتراح استراتيجيه الوقف الجامعي وسياساته العامه والقواعد董الخليه للوقف
الجامعي.
٥. اقتراح الميزانيه النسويه للوقف الجامعي.

٢. اقتراح تعيين مراجع حسابات خارجي للوقف الجامعي بناء علي ترشيح لجنه المراجعه.
٧. اقتراح السياسات والاجراءات الماليه والمحاسبيه للوقف الجامعي.
٨. مناقشه الحساب الختامي والتقير السنوي للوقف الجامعي تمهيدا لرفعه لمجلس
الوقف الجامعي لاعتماده.
٩. تكليف امن عام لمجلس النظاره وتحديد مكافانه ومزاياه الماليه ومهاته وحقوقه
وواجباته ومدده تكليفه.
١٠. تعيين مراقب مالي للوقف الجامعي.
١١. الاشراف علي استثمارات الوقف الجامعي ومتابعتها ورفع تقرير عنها لمجلس
الوقف الجامعي بصفه دوريه.
١٢. اقتراح تاسيس الشركات والكيانات التابعه للوقف الجامعي او المشاركه في تاسيس
الشركات او الدخول فيها شريكا او مساهما وفقا للاجراءات النظاميه.
١٣. تشكيل الجان الدايمه بالوقف الجامعي كلجنه المراجعه.
١٤. اقتراح انشاء فروع للوقف الجامعي داخل المملكه.
١٥. الاشراف علي عمليات تسجيل الاوقاف واصولها والنظار عليها، وتجديد شهاده التسجيل بشكل دوري، واثبات اي تغيرات تطرا علي الوقف الجامعي او اصوله مع مراعاه انظمه ولوايح الهييه العامه للاوقاف.
الماده العاشره:
رييس مجلس النظاره هو spchص المسؤول عن قياده مجلس النظاره، وتشمل
مهامه ومسؤولياته ما يلي:
١. اقرار جدول اعمال الاجتماعات والموضوعات التي ستتم مناقشتها، دون الاخلال
بحق عضو المجلس في ادراج موضوعات معينه في جدول اعمال الاجتماع.
٢. الدعوه لاجتماعات المجلس ورياسه اجتماعاته او تفويض من ينبيه في ذلك.
٣. تمكين جميع اعضاء المجلس من المشاركه في اعمال المجلس وانشطته.
٤. التحقق من قيام المجلس بمناقشه الموضعات الاساسيه والهمه وعدم تاجيلها
واتخاذ القرار المناسب حولها في وقته.
٥. ضمان تمنع المجلس بالدعم الكافي وتزويده بكاففه المعلومات الضروريه التي
تساعده في اتحاذ قراراته بشكل فعال و سليم.

٦. التحقق من التزام المجلس بجميع الانظمه واللوايح والقرارات ذات العلاقه.
٧. توقيع العقود والاتفاقيات باسم الوقف الجامعي وتمثيله امام الجهات القضاييه
والجهات الاخري، وله التفويض في ذلك.
الماده الحاديه عشره:
يليتزم عضو مجلس النظاره بما يلي:
١. الحرص علي حضور اجتماعات المجلس ولجاتها الفرعيه بشكل دايم ومنتظم.
٢. المشاركه الفاعله في تحسين اداره الوقف الجامعي وتحقيق اهدافه، وتجنب كل ما
يسي الي سمعته.
٣. الاسهام في اعداد خطط الوقف الجامعي وبرامجه ومشروعاته.
٤. الافضاح عن تEOARض المصالح.
٥. المحافظه علي اسرار الوقف الجامعي وعدم افشايها.
٦. التقيد بما يصدر من مجلس النظاره من قرارات او تعليمات.
الفصل السادس: الامانه العامه الجامعي
الماده الثانيه عشره:
يكون لمجلس النظاره امانه عامه تساعده في اداء مهامه، ويكون الامين العام مسؤولا
امام مجلس النظاره، وللامانه العامه علي وجه الخصوص ما يلي:
١. اقتراح خطط الوقف الجامعي وبرامجه، وتنفيذها بعد اقرارها من مجلس
النظاره.
٢. اعداد مشروع الميزانيه السنويه للوقف الجامعي قبل انتهاه السنه الماليه بثلاثه
اشهر، تمهيدا لعرضها علي مجلس النظاره.
٢. مسايده مجلس النظاره في اعماله وسؤولياته، واعداد دراسهته، وتوفير البيانات
والمعلومات اللازمه لاتخاذ قراراته ومتابعه تنفيذها.
٤. التحضير لاجتماعات مجلس النظاره واللجان المبنقه عنه.
٥. اعداد جداول اعمال اجتماعات مجلس النظاره وابلاغها للاعضاء بعد اقرارها.
٦. تبلغ قرارات مجلس النظاره للجهات المعنيه ومتابعتها.
٧. القيام بالاعمال الاداريه والماليه لمجلس النظاره.

الماده الثالثه عشره:
مع مراعاه ما يقرره مجلس النظاره، يتولي الامين العام المهام التاليه
١. فتح الحسابات البنكيه بموافقه رييس مجلس النظاره، واجراء العمليات الماليه
الخاصه بالوقف الجامعي، واعتماد اوامر الصرف بعد اجازتها من المراقب المالي
للوقف الجامعي.
٢. الاشراف علي منسوبي الامانه العامه، طبقا للصلاحيات المنوحه، وما تحدده
اللوايح والقواعد المعتمده.
٣. تقديم تقارير دوريه عن سير اعمال الوقف الجامعي واستثماراتيه الي مجلس
النظاره.
٤. التنسيق مع الجهات داخل الجامعه بما يحقق مصلحه الوقف الجامعي.
٥. تزويد الهييه العامه للاوقاف بنسخه من الحساب الختامي بعد اعتماده من
مجلس الوقف الجامعي.
٦. اي مهام اخري يحددها مجلس النظاره.
ولامين العام تفويض بعض صلاحياته لم نيراه يه مباشره عمل او اعمال معينه
مما يدخل في اختصاصاته.
الفصل السباب: مصادر الوقف الجامعي
الماده الرابعه عشره:
تتكون مصادر الوقف الجامعي مما يلي:
١. ما تخصصه الدوله للوقف.
٢. عوايد استثمارات الوقف.
٣. ايرادات الانشطه التي يقيمها الوقف.
٤. التبرعات، والهبات، والنجح، والوصايا.
٥. الاوقاف الموقفه علي الوقف.
٦. ما تخصصه الجامعه من ايراداتها للوقف.
٧. ما يخصص من اراضي الجامعه للوقف بعد تنسيق الجامعه مع الهينه العامه
لعقارات الدوليه.
٨. الدعم المقدم للوقف من الجهات المانحه.

الفصل الثامن: مصارف الوقف الجامعي
الماده الحامسه عشره:
دون الاخلال يشرف الواقف، وعدم الاضرار بحقوق المستحقين في الوقف الجامعي،
تتكون مصارف الوقف الجامعي، التي تصرف من حساب الوقف الجامعي، مما يلي:
1. الصيانه والترميم الدوري للوقف الجامعي وهو مقدم علي ساير المصارف بنسبه
لا تتجازوز (١٥) (خمس عشره بالميه) من اجمالي الربع السنوي، ويقدم الصرف
علي الصيانه الطاريه للوقف الجامعي علي كافه المصارف والستحقين دون
التقيد بهذه النسبه.
٢. المصاريف العومويه الاداريه والتشغيليه لاداره الوقف الجامعي بنسبه لا تتجاز
(٢٠) عشرون بالميه) من اجمالي الربع السنوي.
٣. مكافاه رييس مجلس النظاره واعضاء وامينه عن كل جلسه بمقدار (١٠٠٠) الي
ريال وbmلا لا يتجاز (١٢٠٠) اثني عشر الف ريال في السنه.
٤. مكافاه اعضاء مجلس النظاره علي الا يزيد مجموع مكافات رييس واعضاء مجلس النظاره علي (٥%) (خمسه بالميه) من صافي الريع السنوي، وتقسم بينهم بالتساوي، والا تزيد لمكافاه السنويه لكل منهم علي (٢٥٠٠) ميتين
و خمسين الف ريال.
٥. نسبه لا تتجاز (٢٥%) (خمسه وعشرين بالثمه) من صافي الريع السنوي للاستثمار تعاد الي اصل الوقف الجامعي وتستثمر لصالح تنميه اصول الوقف الجامعي وتعامل الاعيان الناتجه عن ذلك معامله هذه الاوقاف، وتسري عليها
احكام هذه اللايحه.
الفصل التاسع: الاستثمار
الماده السادسه عشره:
دون الاخلال بشرط الواقف، يتم استثمار وتنميه اصول الوقف الجامعي وموارد
وفق قواعد وسياسات يقرها مجلس الوقف الجامعي، ومنها:
١. تاسيس الشركات او المشاركه في تاسيها او الدخول فيها شريكا او مساهما وذلك
وفقا للجراعات النظاميه.

٢. استثمارات قصيره الاحل او طويله الاحل في جميع المجالات ومنها التجاريه والخدميه
والصناعيه والعقاريه والتنميه والماليه والصرفيه والطبيه والغذاييه والمواييه.
الفصل العاشر: التنظيم المالي للوقف الجامعي
الماده السابعه عشره:
تعد السنه الماليه للوقف الجامعي هي السنه الماليه للجامعه.
الماده الثامنه عشره:
يكون للوقف الجامعي ميزانيه سنويه مستقله، يقرها مجلس الوقف الجامعي
بتوصيه من مجلس النظاره، وذلك في مده اقصاها شهر قبل انتهاه الماليه.
الماده التاسعه عشره:
لا يجوز الصرف الا بناء علي ارباط سابق، ولا يجوز الارتباط الا في حدود
الاعتمادات المربيه في الميزانيه.
الماده العشرون:
يتم اجراء المناقلات بين بنود الميزانيه وفقا لصفوفه الصلاحيات المعتمده من
مجلس الوقف الجامعي.
الماده الحاديه والعشرون:
يكون للوقف الجامعي قوايم ماليه سنويه تعد وفقا للقواعد والاعراف المينيه،
والماعير المحاسبه المتعارف عليها في المملكه.
الماده الثانيه والعشرون:
١. يكون للوقف الجامعي نظام محاسبي يتفق مع الانظمه واللوايح المعمولي بها
يغ الجامعه، والسياسات والاجراءات الماليه وال محاسبيه المتعدده للوقف الجامعي،
ونتوفر فيه جميع عناصر الرقابه الداخليه، يساعد علي اعطاء التقارير اللازمه
لاداره الوقت الجامعي، والجهات المختصه.

٢. يكون لكل وقف سجل مالي وسجلات فرعيه لتوثيق مصروفات الاوقاف الجامعيه
وايراداتها وارصدتها.
الماده الثالثه والعشرون:
يتم فتح حساب او اكثر للوقف الجامعي لدي البنك المركزي السعودي، او احمد البنوك او المؤسسات الماليه المرخص لها بالعمل في المملكه، وتودع فيه ايراداته ويصرف منه وفق احكام هذه اللايحه، ويراعي في ذلك مصفوفه الصلاحيات المعتمده من مجلس الوقف الجامعي.
الماده الرابعه والعشرون:
دون الاخلال بشرط الواقف، يحول ما قد يتحقق من فايض الربع السنوي للوقف الي
حساب موحد خاص بريع الوقف الجامعي للصرف منه علي اوجه الصرف التي يحددها
مجلس الوقف الجامعي للاوقاف ودعم الجامعه وانشطتها وبرامجها ومشاريعها.
الماده الخامسه والعشرون:
لا يصرف اي مبلغ الا بعد اجازته من قبل المراقب المالي للوقف الجامعي، وعلي المراقب
المالي التاكد من وجود اعتماد الصرف في ميزانيه الوقف، ومن وجود نظام، او اوامر
من الجهه المختصه بالوقف الجامعي باقرار الصرف ومتوافقه مع الانظمه واللوايح
والقواعد التنفيذيه ذات العلاقه، وعليه ان يمنع عن التوقيع علي المستندات اذا وجد
انها مخالفه للنلك، مع بيان اسباب الامتناع كتابه، اذا حدث خلاف علي الصرف
بين المراقب المالي والامانه العامه يرفع الامر رييس مجلس النظاره متضمنا الرايين
معا، وقرار رييس مجلس النظاره في هذا الشان واجب التنفيذ، فان لم يقتنع المراقب
المالي بقرار رييس مجلس النظاره فعليه، بعد التنفيذ، اعداد تقرير يرفع الي مجلس
الوقف الجامعي ويعد قرار المجلس في ذلك نهاييا.
الماده السادسه والعشرون:
علي المراقب المالي مراجعه السجلات المحاسبيه للوقف الجامعي والحسابات
المستقله لها كل ثلاثه اشهر علي الاقل، والتاكد من ان جميع القيود المحاسبه

والتسويات البنكيه الدوريه قد تمت وفقا لاحكام هذه اللايحه، وقواعد الحاسبيه
المتعارف عليها، ورفع تقرير بذلك الي رييس مجلس النظاره.
الماده السابعع والضرون:
لا يجوز صرف اي مبلغ من اموال الوقف الجامعي الا بموجب المستندات الاصليه
بما فيها الالكترونيه، في حال الصرف بموجب صور المستندات، او بموجب بدل
فاقد، فيتم ذلك وفقا للقرارات والتعليمات التي يصدرها مجلس الوقف الجامعي.
الماده الثامنه والعشرون:
١. يشكل بقرار من مجلس النظاره لجنه مراجعه للوقف الجامعي تكون منبثقه
عنه وتابعله له غرضها الاشراف علي اعمال مراجع الحسابات الخارجي للوقف.
٢. يضع مجلس الوقف الجامعي القواعد التقصيليه لاعمال لجنه المراجعه للوقف
الجامعي وتحدد مهامها واهدافها وصلاحياتها وعلاقتها بكل من مراجع
الحسابات الخارجي ومجلس النظاره وامانته.
الماده التاسعه والعشرون:
١. يعين مجلس الوقف الجامعي مراجع الحسابات الخارجي لمده سنه ماليه قابله
للتجديد وبما لا يتجاوز ثلاث سنوات.
٢. لمراجع الحسابات الخارجي الاطاع علي جميع السجلات، والاستثنات، وطلب
البيانات، والايضاحات، التي يري ضروره الحصول عليها لاداء مهمته، وعليه
كذلك ان يتحقق من موجودات الوقف الجامعي والالتزاماته، وعلي الجهات
المختصه بالجامعه التعاون معه.
٣. في حال عدم تمكين مراجع الحسابات الخارجي من اداء مهمته، فعليه ان يثبت
ذلك في تقرير يرفعه الي رييس لجنه المراجعه للوقف لاتخاذ قرار في هذا الشان
علي وجه السرعه ويزود رييس مجلس النظاره بصوره منه.
٤. علي مراجع الحسابات الخارجي تقدمي تقرير عن حسابات الوقف الجامعي الي
لجنه المراجعه للوقف كل ثلاثه اشهر.

الجامعي ورييس مجلس النظاره بصوره منه.
٦. علي مراجع الحسابات الخارجي وخلال مده اقصاها شهران من تاريخ انتهاه
السنه الماليه مراجعه وتدقيق الحساب الختامي السنوي للوقف المنضم المركز
المالي، وتقديمه الي مجلس النظاره لمناقشته تمهيدا لرفعه الي مجلس الوقف
الجامعي خلال مده اقصاها شهر، وعليه ان يقدم مع الحساب الختامي تقريرا
يënضم رايه في المركز المالي للوقف الجامعي، ومدي اقتناعه باي ايضاحات او
معلومات يكون قد طلبها من الامانه العامه.
الماده الشذون:
يعتمد مجلس الوقف الجامعي الحساب الختامي السنوي للوقف بتوصيه من
مجلس النظاره، مع تزويد الهييه العامه للاوقاف بنسخه منه.
الفصل الحادي عشر: احكام عامه
الماده الحاديه والثلاثون:
ما لم يرد به نص خاص في هذه اللايحه تطبق بشانه الانظمه واللوايح المعمول بها
يجامعه وما يصدره مجلس الوقف الجامعي.
الماده الثانيه والثلاثون:
لجنس شؤون الجامعات حق تعديل هذه اللايحه وتفسيرها.
الماده الثالثه والثلاثون:
يعمل بهذه اللايحه من تاريخ اقراها، وTLHGI كل ما يتعارض معها من احكام.

Chapter Eleven: General Provisions
Article 31:
Unless otherwise specified in this Statute, the laws and regulations applicable at the university and those issued by the University Endowments Council shall apply.
Article 32:
The Council of Universities' Affairs has the right to amend and interpret this Statute.
Article 33:
This Statute shall come into effect from the date of its approval, and all conflicting provisions shall be repealed.

quest data, and clarifications that they deem necessary to perform their duties, and the relevant authorities of the university shall cooperate with them.
3. If the external auditor is not being enabled to perform their duties, he shall document this in a report submitted to the Chairman of the Endowment Audit Committee for a prompt decision in this regard. A copy of this report shall also be provided to the Chairman of the Supervision Council.
4. The external auditor shall submit a report on the accounts of the University Endowments to the Audit Committee for the University Endowments every three months.
5. If any embezzlement or activities endangering the funds of the University Endowments are identified, the external auditor is obligated to promptly report such findings to the Chairman of the Endowments Audit Committee for necessary actions. Additionally, copies of the report must be submitted to the Chairman of the University Endowments Council and the Chairman of the Supervision Council.
6. The external auditor shall review and audit the annual final financial statement of the endowments, including the financial position, within a maximum period of two months before the end of the fiscal year, and submit it to the Supervision Council for discussion prior to submitting it to the University Endowments Council within a maximum period of one month. He shall also provide a report with his judgement about the financial position of the University Endowments and their satisfaction with any clarifications or information requested from the General Secretariat.
Article 30:
The University Endowments Council shall approve the annual final financial statement of the endowment upon the recommendation of the

Article 26:
The financial controller shall review the accounting records of the University Endowment and its independent accounts at least every three months and ensure that all accounting entries and periodic bank reconciliations have been made in accordance with the provisions of this Statute and the generally accepted accounting principles, and then submit a report to the Chairman of the Supervision Council.
Article 27:
No disbursement from the University Endowments funds shall be made except after presenting the original documents, including electronic ones, and in the case of disbursement based on document copies or substitutes, it shall be done in accordance with the decisions and instructions issued by the University Endowments Council.
Article 28:
1. The Supervision Council shall establish an Audit Committee for the University Endowments, which shall be a subsidiary and under its supervision to supervise the work of the external auditors of the endowments.
2. The University Endowments Council is responsible for formulating comprehensive guidelines governing the operations of the Audit Committee for the University Endowment. These rules will delineate the committee's tasks, objectives, powers, and outline its relationship with the external auditors, the Supervision Council, and its Secretariat.
Article 29:
1. The University Endowments Council shall appoint an external auditor for a term of one fiscal year, renewable for a maximum duration not exceeding three years.
2. The external auditor shall have access to all records, documents, re-

institutions licensed to operate in the Kingdom. Its revenues shall be deposited therein, and disbursements shall be made from it in accordance with the provisions of this statute, taking into account the authorized powers matrix approved by the University Endowment Council.
Article 24:
In accordance with the conditions set by the endower, any surplus in annual rent from the endowment shall be transferred to a consolidated account specifically designated for the income of the university endowments. This amount will be disbursed for various expenditures determined by the University Endowments Council to support the university, its activities, programs, and projects.
Article 25:
No amount shall be disbursed except after approval by the financial controller of the University Endowments, and it is the responsibility of the financial controller to ensure the availability of the disbursement commitment in the endowments budget, and the existence of a system or directive from the authorized body of the university endowments approving the disbursement in compliance with the relevant systems, regulations, and executive rules. The financial controller shall refrain from signing the documents if they are found to violate this, stating the reasons for the refusal in writing. If there is a disagreement regarding the disbursement between the financial controller and the General Secretariat, the matter shall be referred to the Chairman of the Supervision Council, including both perspectives, and the decision of the Chairman of the Supervision Council in this regard shall be binding. If the financial controller is not convinced by the decision of the Chairman of the Supervision Council, he/she shall, after implementation, prepare a report to be submitted to the University Endowments Council, and the decision of the University Endowments Council in this matter shall be final.

Article 19:
Disbursements shall only be made based on prior financial commitments, and commitments shall only be made within the limits of the appropriations included in the budget.
Article 20:
Transfers between budget items shall be made in accordance with the authorized powers matrix approved by the University Endowments Council.
Article 21:
The university endowments shall have annual financial statements prepared in accordance with the professional, customary rules and the approved accounting standards in the Kingdom.
Article 22:
1. The university endowment is mandated to maintain an accounting system that aligns with the university's applicable systems and statutes, in addition to the financial and accounting policies and procedures sanctioned for the university endowment. This system is required to encompass all aspects of internal audit and aid in generating the requisite reports for the management of the university endowment and relevant authorities.
2. Each endowment shall have a financial record and subsidiary records to document the expenses, revenues, and balances of the university endowments.
Article 23:
One or more accounts shall be opened for the university endowment with the Saudi Central Bank (SAMA), or one of the banks or financial

ly among them, and the annual remuneration for each individual not exceeding SAR (250,000).
5. A percentage not exceeding (25%) of the annual net income from investments is returned to the asset of the university endowments and invested for the development of the university endowment assets. The assets that result from such investment are treated as part of these endowments, subject to the provisions of this statute.
Chapter Nine: Investment
Article 16:
Subject to the condition of the endower, the assets and revenues of the university endowments are invested and developed according to rules and policies approved by the University Endowments Council, including:
1. Establishing companies, participating in their establishment, or becoming a partner or shareholder in them, in adherence to the prescribed regulatory procedures.
2. Short-term or long-term investments in various fields, including commercial, service, industrial, real estate, technological, financial, banking, medical, food, and pharmaceutical sectors.
Chapter Ten: Financial Arrangements of the University Endowments
Article 17:
The fiscal year of the university endowments is the fiscal year of the university.
Article 18:
The university endowments shall have an independent annual budget approved by the University Endowments Council, upon the recommen-

3. Revenues from activities established by the endowment.
4. Donations, grants, bequests, and wills.
5. Subsidiary endowments to the endowment.
6. The portion of the university's revenues allocated to the endowment.
7. University lands allocated to the endowments after coordination between the university and the State Properties General Authority (SPGA).
8. Support provided to the endowments by donors.
Chapter Eight: The Expenditures of the University Endowments
Article 15:
Subject to the condition of the endower and without harming the rights of beneficiaries of the university endowment, the university endowments expenditures that are disbursed from the university endowments consist of the following:
1. Regular maintenance and refurbishment of the university endowments, given priority over other disbursements, at a rate not exceeding (15%) of the annual net income. Emergency maintenance of the university endowment takes priority over all other disbursements and beneficiaries without adherence to this percentage.
2. General administrative and operational expenses of managing the university endowments, not exceeding (20%) of the annual net income.
3. Remuneration for the Chairman of the Supervision Council, its members, and the Secretary for each session in the amount of SAR (1,000), with an annual limit not exceeding SAR (12,000).
4. Remuneration for members of the Supervision Council, with the total remuneration for the Chairman and members of the Supervision Council not exceeding (5%) of the annual net income, divided equal-

Article 13:
In an alignment with the decisions of the Supervision Council, the Secretary-General shall assume the following tasks:
1. Opening bank accounts with the approval of the chairman of the Supervision Council and conducting financial transactions related to the university endowments, and issuing disbursement orders after they are approved by the financial controller of the university endowments.
2. Supervising the staff of the General Secretariat, according to the granted powers and the statutes and regulations in force.
3. Issuing regular reports to the Supervision Council detailing the advancements in the operations and investments of the university endowments.
4. Coordinating with internal entities within the university to advance the interests of the university endowments.
5. Providing the General Authority of Awqaf (GAA) with a copy of the approved final account after its approval by the University Endowments Council.
6. Any other tasks determined by the Supervision Council.
The Secretary-General has the authority to delegate some of his powers to those he deems fit to carry out specific tasks within his jurisdiction.
Chapter Seven: University Endowments Revenues
Article 14:
The revenues of the university endowments include the following:
1. Government funds for the endowment.
2. Returns obtained from endowments investments.

3. Contributing to the preparation of the university endowments' plans, programs, and projects.
4. Disclosing conflicts of interest.
5. Maintaining the confidentiality of the university endowments.
6. Adhering to the decisions and directives issued by the Supervision Council.
Chapter Six: The General Secretariat
Article 12:
The Supervision Council shall establish a General Secretariat to support its functions, and the Secretary-General shall be accountable to the Supervision Council. The General Secretariat shall be tasked with the following responsibilities:
1. Proposing plans and programs and executing them following their approval by the Supervision Council.
2. Compiling the annual budget of the university endowments three months prior to the conclusion of the fiscal year, in preparation for its submission to the Supervision Council.
3. Assisting the Supervision Council in its functions and duties by conducting necessary studies, providing essential data and information for decision-making, and overseeing the execution of approved decisions.
4. Preparing for the meetings of the Supervision Council and its sub-committees.
5. Preparing the agenda for the Supervision Council meetings and disseminating it to members following its approval.
6. Notifying the relevant parties and following up on the decisions of the Supervision Council.
7. Managing the administrative and financial affairs of the Supervision Council.

Article 10:
The Chairman of the Supervision Council is the person responsible for leading the Supervision Council. His duties and responsibilities include the following:
1. Approving the meeting agenda and proposed topics for discussion, while preserving the right of any council member to incorporate specific items into the agenda.
2. Summoning meetings of the council, presiding over them personally or designating a delegate to assume this responsibility.
3. Facilitating the active participation of all council members in the operations and activities of the council.
4. Ensuring that the council expeditiously addresses significant matters and reaches timely and pertinent decisions.
5. Ensuring that the council receives ample support and supplying it with all essential information to facilitate effective and judicious decision-making.
6. Ensuring the council's adherence to all pertinent systems and statutes.
7. Signing contracts and agreements on behalf of the university endowments, and representing it before judicial and other authorities, with the authority to delegate such responsibilities.
Article 11:
A member of the Supervision Council shall adhere to the following commitments:
1. Attending the Council's meetings and its subcommittees regularly and consistently.
2. Actively engaging in enhancing the management of the university endowments and contributing to the realization of its objectives, while refraining from any actions that could detrimentally impact its reputation.

6. Recommending the appointment of an external auditor for the university endowments, based on the nomination of the audit committee.
7. Proposing financial and accounting policies as well as procedures for the university endowments.
8. Deliberating on the final accounts and annual report of the university endowments as part of the preparation for their approval by the University Endowments Council.
9. Appointing a secretary-general for the Supervision Council and determining their financial rewards, benefits, duties, and rights, as well as the duration of their appointment.
10. Appointing a financial controller for the university endowments.
11. Overseeing the investments of the university endowments, monitoring their performance, and providing regular reports on these activities to the University Endowments Council.
12. Proposing the establishment of companies and entities affiliated with the university endowments or participating as a partner or shareholder in existing companies, in accordance with the applicable regulations.
13. Forming permanent committees within the university endowment, such as the audit committee.
14. Proposing the establishment of branches for the university endowment within the Kingdom.
15. Supervising the processes of registering endowments, their assets, and their supervisors, renewing their registration periodically, and documenting any changes that occur in the university endowment or its assets, in compliance with the regulations and rules of the General Authority of Awqaf (GAA)

Article 8:
The Supervision Council shall assemble a minimum of four times per fiscal year, upon the invitation of its president. The chairman of the council may call for a meeting if necessary, or if at least one-third of the members submit a written request for it. The council’s meeting shall be valid only if at least two-thirds of the members attend, including the president of the council or their delegated representative. Decisions shall be passed by a majority vote of the members present. In the event of a tie, the decision shall align with the stance supported by the president of the meeting. Participation may be facilitated through visual or audio communication methods when deemed necessary. The chairman of the Supervision Council holds the authority to extend invitations to individuals to attend meetings without voting privileges.
Article 9:
The Supervision Council shall be entrusted with several tasks, including:
1. Supervising the university endowments and its management.
2. Overseeing the endowments supervisors of the university and monitoring their work without interfering with the conditions set by the endower, if any.
3. Appointing supervisors for endowments that do not have a designated supervisor from the endower, in accordance with the appointment conditions and procedures set by the General Authority of Awqaf (GAA).
4. Proposing the strategic plan, general policies, and internal regulations of the university endowments.
5. Proposing the annual budget of the university endowments.

12. Setting and overseeing the salaries, benefits, and incentives for employees within the university endowments.
The Council is authorized to delegate some of its powers to its chairman or anyone he deems fit to carry out specific tasks within its jurisdiction, and it has the authority to form permanent or temporary committees from its members or others to look into matters assigned to them.
Article 6:
The Council of the University Endowments shall meet at least twice a year, and the chairman of the council may call for a meeting whenever necessary. The meetings shall not be valid unless attended by at least two-thirds of its members, including the chairman of the council or their vice chairman. The decisions shall be issued by a majority vote of the attending members, and in the event of a tie, the side with which the chairman of the meeting voted with shall prevail. The chairman of the council has the right to invite anyone he deems fit to attend the meeting without the right to vote. Attendance may be made through visual or audio means of communication when necessary.
Chapter Five: Supervision Council
Article 7:
The university endowments shall have a Supervision Council composed of the university president and a maximum of nine members who possess expertise, competence, and specialization in the field of endowments, both from within and outside the university. Among them, one or more members may be appointed from the endowers themselves or those nominated by them. The University Endowments Council shall determine their appointment, as nominated by the president, for a tenure of three years, with the possibility of renewal for a single term.

Chapter Four: University Endowments Council
Article 5
The university endowments shall have a Council called the “University Endowments Council,” which shall assume the following tasks:
1. Approving the strategy and general policies of the university endowments.
2. Approving the internal regulations governing its operations.
3. Adopting the organizational structure of the university endowments.
4. Approving the annual budget of the university endowments.
5. Establishment of companies and subsidiaries affiliated with the university endowments, or participation in the establishment or entry into companies as partners or shareholders, in accordance with the applicable legal procedures.
6. Approval of the establishment of branches for the university endowments within the Kingdom.
7. Appointment of members for the Endowments' Council of Trustees.
8. Appointment of an external auditor for the accounts of the university endowments.
9. Authorization of financial and accounting policies and procedures governing the university endowments.
10. Approval of the final account and annual report of the university endowments.
11. Absolving the chairman of the Endowments Council and its members from liability for their work.

Article 2
The objectives of the Statute are:
1. Organizing the establishment and management of endowments in universities.
2. Determining the financial and administrative responsibilities and authorities of managing the university endowments.
3. Directing the university endowments towards achieving the objectives of the university.
4. Fulfilling the necessary governance requirements for managing endowments in universities.
Chapter Two: The Regulatory Nature of the University Endowments
Article 3
The university endowment possesses a distinct legal identity, conferring upon it the authority of ownership and disposal, overseen and managed by the Endowments Council. All its transactions shall adhere to sanctioned legal, regulatory, and professional standards, provided they remain consistent with the conditions set by the endower. The central office of the endowment shall be situated within the university premises, with the flexibility to establish branches across the Kingdom as deemed necessary.
Chapter Three: Objectives of the University Endowments

The objective of the university endowments is to support the university, its activities, programs, and projects, in order to achieve its goals and

Chapter One: Definitions and Objectives
Article 1
The following terms and phrases, wherever mentioned in this Statute, shall have the meanings specified next to each, unless the context requires otherwise:
University Endowments: All endowments established in the university or affiliated with it.
Endower: The natural or legal person who establishes the endowment for the university or its affiliated entities.
Supervision: The authority to carry out actions that ensure the preservation, investment, development, repair, litigation, and disbursement of the revenue of the endowment, in accordance with the endower's conditions.
Supervisor: The natural or legal person responsible for supervising the university endowments.
Supervision Council: The authority responsible for overseeing, managing, and monitoring the university endowments.
University Endowments Council: The university council in universities applying the Higher Education Council and Universities System issued by Royal Decree No. (M/8) dated 4/6/1414 H, or the Council of Trustees in universities applying the Universities System issued by Royal Decree No. (M/27) dated 2/3/1441 H, in accordance with the Universities System applied in the university.
General Secretariat: The general secretariat of the Endowments Council.

The regulatory documents upon which reliance was placed in formulating this Statute.
- Paragraph (6) of Article (15) of the Higher Education Council and Universities System issued by Royal Decree No. (M/8) dated 4/6/1414H, which stipulates that one of the competencies of the Higher Education Council (Council of Universities' Affairs) is “issuing joint statutes for universities.”
- Paragraph (2) of Article (53) of the Higher Education Council and Universities System, which states that the revenues of the university include “donations, grants, bequests, and endowments.”
- Paragraph (b) of Article (54) of the Higher Education Council and Universities System, which states that “the university council may accept donations, grants, bequests, and endowments specifically for the university. It is also permissible to accept conditional donations or designated for specific purposes if the conditions or purposes align with the university’s mission. These donations shall be deposited in a separate account to be used for their designated purposes according to the rules set by the Higher Education Council.”
- Paragraph (6) of Article (7) of the Universities System issued by Royal Decree No. (M/27) dated 2/3/1441 H, which states that one of the competencies of the Council of Universities’ Affairs is “approving the organized regulations for the management of endowments in universities in coordination with the General Authority of Awqaf (GAA).”
