Implementing Regulations of the Special Integrated Logistics Zone
Implementing Regulations of the "Laws and Regulations Governing the Special Integrated Logistics Zone" promulgated by Royal Order No. (A/17) dated 01/02/1440H
These Implementing Regulation are made by the General Authority of Civil Aviation pursuant to the authority vested in it under the laws of the Kingdom of Saudi Arabia, including the Laws and Regulations Governing the Special Integrated Logistics Zone promulgated by Royal Order No. (A/17) dated 01/02/1440H and the Regulation of the General Authority for Civil Aviation issued pursuant to Council of Ministers Resolution No. (33) dated 11/02/1426H.
Pursuant to Article 20 of the Regulation of the Special Integrated Logistics Zone promulgated by Royal Order No. (A/17) dated 01/02/1440H, the General Authority of Civil Aviation's Board of Directors hereby issues the following Implementing Regulations of the Special Integrated Logistics Zone.
Article 1 - Definitions
Wherever contained herein, the following terms and expressions shall have the meanings assigned thereto:
1. Authorization/Authorized: means the authorization issued by the Department to companies established in the Mainland to carry out, within the Zone, activities other than Zone Activities.

اللوجستيه المتكامله.
الماده الاولي - التعريفات
يقصد بالالفاظ والمصلحات الاتيه – اينما وردت في هذه
اللاتحه – المعاني الملييه امام كل منها، ما لم يقتض السباق
خلاف ذلك:
1. Authorization/Authorized: means the authorization issued by the Department to companies established in the Mainland to carry out, within the Zone, activities other than Zone Activities.
التصريح: الموافقه التي تمنحها الاداره لاي منشاه
للقيام باي نشاط غير انشطه المنقطه ضمن الحدود
الجرافيه للمنطقه.

2. Company: a company as defined in the Companies Regulations.
. ٢. الشركه: لها المعني الوارد في نظام الشركات.
3. Companies Regulations: The ILBZ Companies Regulations.
4. Department: means the Special Integrated Logistics Zone Department.
5. Established Entities: shall have the meaning given to them in Article 5 (3) of these Regulations.
6. Governing Body: means the General Authority of Civil Aviation.
7. Government Services Office: shall have the meaning given to it in Article 7 of these Regulations.
8. Law: means the Law for establishing the Special Integrated Logistics Zone promulgated by Royal Order No. (A/17) dated 01/02/1440H.
9. Limited Liability Company: shall have the meaning given to it in the Companies Regulations.
10. Mainland: The territory of the Kingdom of Saudi Arabia excluding the Zone.
11. Principal Company: means a corporate established outside the Zone whether inside or outside of the Kingdom.
12. Regulations: means the Implementing Regulations of the Special Integrated Logistics Zone.
الشركه: لها المعني الوارد في نظام الشركات.
نظام الشركات: نظام لاتحه الشركات للمنطقه
الخاصه الوجستيه المتكامله.
الاداره: تعني اداره المنطقه الخاصه اللوجستيه
المتكامله.
الكيانات القايمه: لها المعني الوارد في الماده الخاصه
الفقره (٣) من هذه اللاتحه.
الجهبه المختصه: تعني الهييه العامه للطيران المدني.
مركز الخدمه الشامله: لها المعني الوارد في الماده
السابعه من هذه اللاتحه.
التنظيم: تنظيم انشاء المنطقه الخاصه اللوجستيه
المتكامله الصادر بالامر الملكي رقم (١٧/١) وتاريخ

شركه ذات مسؤوليه محدوده: لها المعي الوارد في
نظام الشركات.
١. الارض الرييسيه: اقليم المملكه العربيه السعوديه ما
عدا المنطقه.
11. الشركه الرييسيه: هي اي شركه تم تاسيها في الارض
الرييسه سواء داخل المملكه او خارجها.
١٢. اللاتحه: اللاتحه التنفيذيه لتنظيم المنطقه الخاصه
اللوجستيه الملكامله.

13. The Aviation Law: means the Civil Aviation Law Royal Decree No. M/44, 18 Rajab 1426H / 23 August 2005.
14. Trading Licence: means the authorization issued by the Department to Established Entites to conduct one or more Zone Activities within the Zone.
15. Zone: means the Special Integrated Logistics Zone.
16. Zone Activities: the activities specified in Article 6 of the Law.
Article 2 – Establishing The Special Integrated Logistics Zone Department
1. A department, called "The Special Integrated Logistics Zone Department", shall be established by the Governing Body for the purpose of establishing the Zone and administrating the Zone's affairs.
2. The Department shall have the full legal capacity to enter into all kinds of contracts.
3. Notwithstanding the foregoing, the Governing Body may entrust the Zone's management, development, or supervision, or part thereof, to the private sector.
13. نظام الطيران: يعني نظام الطيران المدني الصادر
بالمرسوم الملكي رقم (٤٤) وتاريخ ١٨١٤٦/٧/١٨ ه،
٢٠٠٥/٨/٢٣ الموافق
١٤. الترخيص: التصريح او الموافقه الذي تمنحه الاداره
للكيانات القايمه للقيام بنشاط او اكثر من انشطه
المنطقه في المنطقه.
٥. المنطقه: المنطقه الخاصه اللوجستيه المتكامله.
١٦. انشطه المنطقه: الانشطه المحدده في الماده السادسه
من التنظيم.
الماده الثانيه - انشاء اداره المنطقه الخاصه اللوجستيه
المتكامله
1. تنشي الجبهه المختصه اداره تسعي "اداره المنطقه الخاصه اللوجستيه المتكامله" بفرض انشاء المنطقه واداره شؤونها.
للاعاره كامل الصلاحيات لابرام جميع انواع
العقود.
بالرغم من ذلك، للجهبه المختصه، في اي وقت، ان
تقوم باسناد اعمال اداره المنطقه وتطويرها
والاشراف عليها او بعض من هذه الاعمال الي
القطاع الخاص.

Article 3 - Governance of The Special Integrated Logistics Zone Department
الماده الثالثه - حوكمه اداره المنطقه الخاصه اللوجستيه
المتكامله
1. The Vice President of the Department shall be appointed by the President of the Governing Body.
. يقوم رييس الجهه المختصه بتعيين نايب رييس
للاعاره.
2. The Vice President of the Department shall supervise and be accountable for the fulfilment of the Zone's aims.
يكون نايب الرييس للاداره مشرفا ومسؤولا عن تحقيق اهداف المنطقه.
Article 4 – Responsibilities
الماده الرابعه - المسؤليات
1. The Department shall take the steps necessary to manage, develop and supervise the Zone to ensure the successful operation of the Zone and enable the fulfilment of the Zone's aims. In particular, the Department shall:
. 1. تتخذ الاداره التدابير للازمه لاداره المنطقه وتطويرها
والاشراف عليها وضحمان نجاح تشغيل المنطقه و تحقيق
اهدافها، وعلي ذلك تتخذ الاداره الخطوات التاليه:
(a) Design, establish, and develop the infrastructure necessary for the successful operation of the Zone and the fulfilment of its aims.
تصميم وانشاء وتطوير البنيه التحتيه اللازمه
لضمان نجاح تشغيل المنطقه وتحقيق اهدافها.
(b) Prepare, establish, and develop all executive regulations and guidelines necessary for the successful operation of the Zone and the fulfilment of its aims.
اعداد وانشاء وتطوير اللوايح التنفيذيه والادله
الارشاديه اللازمه لنجاح تشغيل المنطقه وتحقيق
اهدافها.
Article 5 – Incorporation and Licensing
الماده الخامسه - التاسيس والترخيص
1. The Department shall develop regulations, systems, and processes to enable it to incorporate companies in the Zone.
. تقوم الاداره بتطوير اللوايح والانظمه والاجراءات
لتمكينها من تاسيس الشركات في المنطقه.

2. The Department shall develop regulations, systems, and processes to enable it to issue Trading Licenses.
٢. تضع الاداره اللوايح واليات العمل التي تمكنها من
اصدار التراخيص.
3. Companies established and licensed pursuant to this Article 5 shall be Established Entities for the purpose of the Law.
لاغراض احكام التنظيم، تعتبر الشركات التي تاسست
ورخص لها وفقا لهذه الماده الخامسه كيانات قايمه.
4. Established Entities shall take one of the following forms:

(a) ILBZ Limited Liability Company; or
. شركه ذات مسؤوليه محدوده
(b) A branch of a Principal Company

5. The Department shall issue detailed rules, regulations, and guidelines to regulate Established Entities within the Zone.

لتنظيم الكيانات القايمه في المنطقه.
6. The Department shall maintain a public register of Established Entities.
. تحتفظ الاداره بسجل عام للكينات القايمه.
7. The Department shall develop regulations, systems, and processes to enable it to issue Authorizations permitting companies established in the Mainland to carry out, within the Zone, activities other than Zone Activities.

Entities and Authorized companies comply with applicable laws within the Zone.
10. The Department will collaborate with the appropriate authorities to ensure that intellectual property within the Zone are protected and enforced.

Article 6 – Leasing
الماده السادسه - التاجير
The Department shall also develop regulations, systems, and processes for the following:
تضع الاداره اللوات والانظمه واليات العمل ما يلي:
1. Construct facilities for the purposes of leasing such facilities to Established Entities and/or Authorized companies.
١. بناء وتشييد المرافق لتاجيرها للكيانات القايمه و/او
الشركات الخاصه علي الترخيص.
2. Lease empty plots of the Zone to enable Established Entities and/or Authorized companies to construct their own facilities.
٢. تاجير الاراضي الخاليه داخل المنطقه لتمكين
الكيانات القايمه و/او الحاصين علي تصاربح من بناء
مرافقهم الخاصه.
Article 7 – Government Services Office
الماده السابعه - مركز الخدمه الشامله
1. The Department shall establish a “Government Services Office” in the Zone to serve as a single office for obtaining various government services required by Established Entities and Authorized companies.
١. تنشي الاداره "مركز الخدمه الشامله" في المنطقه
ليكون المكتب لموحد لتقدمي مختلف الخدمات
الحكوميه وغيرها التي تستلزمها الكيانات القايمه
والحاصلين علي التصاريح.
2. The Department shall coordinate with other government entities to ensure the effective operation of the Government Services Office.
2. علي الاداره التنسيق مع الجهات الحكوميه الاخري
لضمان التشغيل الفعال لمركز الخدمه الشامله.

Article 8 – Visas and work permits
الماده الثامنه - التاشيرات ورضي العمل
1. The Department shall develop regulations, systems, and processes to enable it to issue, and govern the issuance of, work permits for employees of Established Entities.
1. تضع الاداره الوايج واليات العمل التي تمكها من اصدار وتنظيم رخص العمل اللازمه لموظفي الكيانات
القايمه.
2. Pursuant to Article 14 of the Law, the Department shall acquire the necessary work permits for employees who will work principally within the Zone on behalf of Established Entities and Authorized companies provided the Department shall allocate the same in accordance with the fulfilment of the Zone's aims.
٢. وفقا للماده ١٣ من التنظيم، يجب علي الاداره الحصول علي تصاريح العمل اللازمه للموظفين الذين سيعملون داخل المنطقه، وذلك بالنيابه عن الكيانات القايمه والشركات الخاصه علي التصريح، علي ان يتم تخصيص تصاريح العمل تلك بما يحقق اهداف
المنطقه.
3. The Department shall stand as sponsor and arrange for issuance of residency permits for employees and the dependents of said employees of Established Entities that require the same.
٣. تقوم الجبه المختصه بدور الكفيل وترتيب اصدار
رخص العمل وتصاريح الاقامه للعاملين الاجانب
والتابعين لم في الكيانات القايمه.
Article 9 – Waste Management and the Environment
الماده التاسعه - اداره النفايات والبييه
The Department shall take all steps necessary to design, establish, and develop an environment conducive to quality investment in recycling and waste management.
تتخذ الاداره جميع التدابير اللازمه لتصميم وانشاء
و-tطوير بييه استثماريه جاذبه لتمكين استثمارات نوعيه في
اعاده التدوير واداره النفايات.
Article 10 – Zone Security
الماده العاشره - امن المنطقه
Pursuant to both The Aviation Law and the Law, the Department shall design, establish, and develop all necessary measures to maintain security in the Zone while ensuring the effective operation of the Zone. In the furtherance of the foregoing, the Department shall coordinate with the relevant security authorities in the

بتصميم واشاء وتطوير جميع التدابير والاجراءات اللازمه
للحفاظ علي امن المنطقه بما يضمن تشغيلها الفعال.
ولتحقيق ذلك، تقوم الاداره بالتنسيق مع الاجهزه الامنيه
المعنيه في المملكه لضمان اتخاذ كافه التدابير والاجراءات
الامنيه بما يحقق اهداف المنطقه.

Kingdom to ensure all security measures are at all times conducive to achieving the aims of the Zone.
Article 11 – Collaboration
الماده الحاديه عشره - التعاون
The Department shall coordinate, collaborate and share suitable data, to the extent necessary, with, government and private sector entities to ensure the successful implementation and operation of the Zone, and the fulfilment of its aims.
تقوم الاداره بالتنسيق والتعاون ومشاركه المعلومات
الملااثمه - بالقدر اللازم - مع كيانات القطاعين الحكومي
والخاص لاحراز النجاح في تنفيذ وتشغيل المنطقه وتحقيق
اهدافها.
