Upon perusal of the National Debt Management Center Statute draft. Upon perusal of Paragraph (2) of Article (24) of the Law of the Council of Ministers, issued by Royal Order No. (13/A) dated 3/3/1414H. Upon perusal of the minutes of meeting No. (1818) dated 10/21/1440H, and Memorandum No. (2204) dated 12/24/1440H, prepared in the Bureau of Experts at the Council of Ministers. Upon perusal of Recommendation No.(6-57/40/D) dated 11/19/1440H, prepared at the Council of Economic and Development Affairs. And upon perusal of Recommendation No. (856) of the General Committee of the Council of Ministers dated 9/2/1441H, Resolves as follows: First: Converting the office of (Public Debt Management) in the Ministry of Finance into a center named (The National Debt Management Center). Second: Approval of the National Debt Management Center Statute as per the attached form. The Prime Minister قرار مجلس الوزراء (139) رقم و تاريخ 1441/2/16 ان مجلس الوزراء بعد الالطلاع علي المعامله الوارده من الديوان الملكي برقم 32127 وتاريخ 1440/6/16، مشتمله علي خطاب معالي وزير الماليه رقم 2592 وتاريخ 1440/3/14 (مكتب اداره الدين العام) الي مركز تحت اسم (المركز الوطني لاداره الدين). وبعد الالطلاع علي مشروع تنظيم المركز الوطني لاداره الدين. وبعد الالطلاع علي الفقره (2) من الماده (24) من نظام مجلس الوزراء، الصادر بالامر المكي رقم (13/ا) و تاريخ 1414/3/3 وبعد الالطلاع علي المحضر رقم (1818) و تاريخ والمذكره رقم (2204) و تاريخ والمدين في هييه الخبراء بمجلس (1414/3/3 وبعد الالطلاع علي التوصيه المعده في مجلس (٤٠/٤-٥٦) الشؤون الاقتصاديه والتنميه (٤٠/٤-٥٦) و تاريخ والتاريخ 14140/11/19 وبعد الالطلاع علي توصيه اللجنه العامه لمجلس (1441/2) (856) واريد (1441/2) يقر ما يلي: اولا : تحويل مكتب (اداره الدين العام) في وزاره (الماليه الي مركز باسم (المركز الوطني اداره الدين). ثانيا : الموافقه علي تنظيم المركز الوطني لاداره الدين، بالصيغه المرافه. رييس مجلس الوزراء www.ndmc.gov.sa - 1 - المركز الوطني للاداره المالي NATIONAL DEBT MANAGEMENT CENTER The National Debt Management Center Statute Article (1) The following words and phrases - wherever stated in this Statute - shall have the meanings assigned thereto, unless the context requires otherwise: Center : The National Debt Management Center. Statute: The Center's Statute. Minister: The Minister of Finance. The Board: The Center's Board of Directors. Chairman: Chairman of the Board. Chief Executive Officer: CEO of the Center. Article (2) The Center has an autonomous legal personality, financial and administrative independence, and is organizationally linked to the Minister, and its headquarters shall be in Riyadh. Article (3) The Center aims to: 1. Contribute to the development of the Kingdom's public debt policy, and securing the Kingdom's financing needs in the short, medium and long term. 2. Maintain the Kingdom's ability to access different debt markets to issue sovereign debt instruments at fair pricing within informed foundations and frameworks of risk management. 3. Follow up on the Kingdom's credit-rating affairs in co-operation with the relevant government agencies. 4. Provide advisory services and proposing execution plans for government agencies and companies in which the government owns more than (50%) of the capital and public institutions in the area of the Center's competence, including collecting, processing and follow-up on direct and indirect public debt data, and the negotiation of debts restructuring, repricing or re-contracting, services related to hedging policies, investors relations management in public debt instruments, credit rating affairs, or other related services. تنظيم المركز الوطني اداره الدين الماده الاولي يقصد بالكلمات والعبارات التيه - اينما وردت في هذا التنظيم، المعاني المبينه امام كل منها، ما لم يقتض السباق غير ذلك: المركز: المركز الوطني لاداره الدين. التنظيم: تنظيم المركز. الوزير: وزير الماليه. المجلس: مجلس اداره المركز. الرييس: رييس المجلس. الرييس التنفيذي: الرييس التنفيذي للمركز. الماده الثانيه يتمتع المركز بالشخصيه العتباريه المستقله، والاستقلال المالي والياداري، ويرتبط تنظيميا بالوزير، ويكون مقره في مدينه الرياض. الماده الثالثه يهدف المركز الي ما يلي: اليسهام في وضع سياسه الدين العام للمملكه وتطويرها، وتامين احتياجات المملكه من التمويل علي المدي القصير والمتوسط والبعيد. ضمان استداحه وصل المملكه الي مختلف اسواق الدين لاصدار ادوات الدين السياديه بتسعيره عادله ضمن اطر واسس مدروسه لاداره المخاطر. متابعه شؤون التصنيف الثاني للمملكه بالتعاون مع الجهات الحكوميه ذات العلاقه. تقدم خدمات استشاريه واقتراح خط تنفيذيه للاجهزه الحكوميه والشركات التي تمتلك فيه الدوله ما يزيد علي (50%) من راس مالها والمؤسسات العامه في مجال اختصاص المركز، بما في ذلك تجميع بيانات البان العام بশير وغير المباشر ومحالجهها ومتابعتها، والتفاوض حول اعاده هيكله الدين او اعاده تسعيرها او اعاده التعاقد عليها، او خدمات تتعلق بسياسات التحوط، او اداره علاقات المستثمرين في ادوات الدين العام، او شؤون التصنيف الثنايي، او غيرها من الخدمات ذات العلاقه. www.ndmc.gov.sa -2- [Non-Text] The National Debt Management Center Statute Article (4) The Center may - without prejudice to the jurisdictions of the relevant government agencies - take whatever is necessary to achieve its objectives, including the following: 1. Develop policies, plans and programs - in accordance with statutory procedures - that would enhance the public debt policy of the Kingdom, and ensure the sustainability of the Kingdom's access to various domestic and international debt markets at fair pricing. 2. Contribute to the promotion of the Kingdom's financial policy in the area of the Center's competence, in agreement with the Ministry of Finance. 3. Propose regulations related to public debt management, and propose an amendment to existing regulations, and submit them in accordance with the Statutory procedures. 4. Adopt performance measures and standards of public debt levels, and indicators of the Kingdom's credit rating, and develop these indicators and standards on an ongoing basis, in cooperation with related government agencies. 5. Develop the necessary tools, approaches and methods to the public debt repayment, propose an amendment to the existing ones, and submit what is necessary to complete the statutory procedures, in agreement with the relevant agencies. 6. Adopt the best practices of information systems and technical applications for the Center's projects and works, including risk management, settlement and payments systems. 7. Prepare periodic measuring and monitoring reports on the public debt status, including risk management, compliance, evaluating funding sources and analyzing their impact on the public debt portfolio. 8. Coordinate with government agencies to build work teams to study credit rating details. 9. Hold meetings, seminars, conferences and training courses specialized in the field of public debt, whether inside or outside the Kingdom, in a way that contributes to build and strengthen effective relationships with financial markets' participants. 10. Hire experts, consultants and highly skilled consulting firms in the area of the Center's competence and the tasks assigned to it. 11. Conclude partnerships and cooperation agreements with relevant government agencies, to exchange experiences in financial and monetary fields. 12. Conclude memoranda of understanding and agreements with counterpart agencies in other countries and relevant international financial institutions, to exchange experiences in the field of public debt management, in accordance with the statutory procedures. 13. Preparing or participating in scientific studies and researches in the fields of public debt and their developments, and publishing them. 14. Disseminating public debt data to enhance transparency. 15. Provide administrative and technical advice to government agencies and companies in which the government owns more than (50%) of their capital and public institutions, in matters related to pricing or finance structuring, hedging policies, investors relations, credit rating, or other related services. تنظيم المركز الوطني اداره الدين الماده الرابحه للمركز - دون اخلل ب-acتصاص الحكوميه ذات العلاقه اتخاذ كل ما يلزم في سبيل تحقيق اهدافه، وله علي وجه خاص ما ياتي: وضع السياسات والخطوط والمراجع - وفق الاجراءات النظاميه المtbعه - التي من شانها ان تيز سياسه الدين العام للمملكه، وضمان استداحه وصل المملكه الي مختلف اسواق الدين المحليه والعالميه بتسعير عادل. الاسهام في تعزيز السياسه الماليه للمملكه فيما يhjل في اختصاصه، وذلك بالاتفق مع وزاره الماليه. اقتراح النظمه ذات الصله اداره الدين العام، واقتراح تعديل المعمويل به منها، والرفع عنها، وفرق الجراءات النظاميه المتبعه. اعتماد مؤشرات ومعايير قياس اداء مستويات الدين العام، ومؤشرات التصنيف الثنتماني للمملكه، وتطوير هذه المؤشرات والمعايير بشكل مستمر، وذلك بالتعاون مع الجهات الحكوميه ذات العلاقه. تطوير الادوات والمنهجيات والسياب اللازمه لسداد الدين العام، واقتراح تعديل المعمول به منها، والفرع عما يلزم لاستكمال الجراعات النظاميه، وذلك بالاتفاق مع الجهات العلاقه. تبي افضل ممارسات نظم المعلومات والتنصليات التقنيه لمشاريع المركز واعماله، بما في ذلك نظام اداره المخاطر والتيسويه والمدفوعات. اعداد تقارير قياس ومتابعه دوريه عن اوضاع الدين العام، تشمل اداره المخاطر والالتزام وتقويم مصادر التمويل وتحليل اثرها علي محفظه الدين العام. التنسيق مع الجهات الحكوميه لتشكيل فرق عمل لدراسه تفاصيل التصنيف athtomanي. عقد للقاعات والنحوات والمؤتمرات والدورات التدريبيه المتخصصه في مجال الدين العام سواء داخل المملكه او خارجها بما يسهم في بناء وتقويه علاقات فاعله مع المشاركين في الاسواق الماليه. الستعلكه بالخبراء والاستثمين وبيوت الكيره ذات الكفارات المتميزه في المجالات ذات العلاقه باعمال المركز والمهمات المسنده اليه. عقد شراكات واتفايات تعاون مع الجهزه الحكوميه ذات العلاقه. لتبادل الخبرات في المجالات العالميه وال TCDE. عقد مدخرات تفاهم واتفايات مع الجهزه النظيره له في الدول الذي والموسسات الماليه الدوليه ذات العلاقه، لتبادل الخبرات في مجال اعمال اداره الدين العام، وذلك وفق الاجراءات النظافيه المتبعه. اعداد دراسات وبحوث علميه في مجالات الدين العام وتطوراتها او المشاركه في ذلك، ونشرها. نشر بيانات الدين العام لتعزيز الشاقيه. تقديم الاستثمارات الاداريه والفنيه للجهات الحكوميه والشركات التي تمتلك فيها الدوله ما يزيد علي (50%) راس مالها والمؤسسات العامه، في مجالات تسعير او هيكله التمويل، او سياسات التحوط، او العلاقات المستثمرين، او التصنيف الثنتماني، او غيرها من الخدمات ذات العلاقه. www.ndmc.gov.sa -3- [Non-Text] المركز الوطني للدوله NATIONAL DEBT MANAGEMENT CENTER The National Debt Management Center Statute Article (5) The Center shall have a Board of Directors chaired by the Minister and the membership of: 1. The Chief Executive Officer. 2. A maximum of (3) members who are specialists and experienced in the Center's competence field, appointed by the Prime Minister's order upon a proposal of the Chairman, and the term of their membership shall be (3) years subject to renewal. Article (6) The Board shall be the dominant authority that manages and conducts the affairs of the Center and take all the necessary decisions to achieve its objectives within the boundaries of the Statute. Moreover, the Board specifically is empowered to: 1. Propose the public debt strategy and any amendments thereto which shall be approved by the competent authority, in accordance with the statutory procedures. 2. Adopt the Center's public policies, action plan and operational plans, within the framework of the government's fiscal and economic policies. 3. Adopt the Center's organizational structure. 4. Adopt the Center's financial and administrative regulations in agreement with the Ministry of Finance, and other internal regulations that are necessary for the conduct of its affairs. 5. Adopt technical regulations, procedures, rules and standards related to the Center's. 6. Approve the Center's draft budget, final account, auditor's report, and annual report; In preparation for submitting them according to the statutory procedures. 7. Approval to conclude memorandums of understanding, agreements, contracts and other documents, in accordance with the Center's regulations and the statutory procedures. 8. Appoint an external auditor and an internal financial controller. 9. Approve opening bank accounts for the Center's outside Saudi Arabia. 10. Approve the advisory services' fees provided by the Center, in accordance with its Statute. 11. Considering matters referred to the Center by the Minister. The Board may form permanent or temporary committees from its members or others, and entrusts them with tasks which the Board deems appropriate. Each committee formation resolution shall include the name of its chairman, members and its scope, and such committees may seek the assistance of whomever it deems appropriate to carry out their tasks. The Board also reserves the right to delegate any of its functions to the Chief Executive Officer or to whomever it deems fit from the Centre's employees, as required to ensure the progress of work. تنظيم المركز الوطني اداره الدين الماده الخاصه يكون للمركز مجلس اداره برياسه الويز وعضويه كل من: الرييس التنفيذي. . عدد لا يتجاوز (ثلاثه) اضاء من المختصين وذوي الخبره بمجال عمل المركز، يعينون بامر من رييس مجلس الوزراء بناء علي اقتراح من الرييس، وتكون مده عضويتهم (ثلاث) سنوات قابله للتجديد. الماده السادسه المجلس هو السلطه المهينه علي شؤون المركز وادارته و-tصريف اموره، ويتخذ جميع القارات اللازمه لتحقيق اهدافه في حود احكام التنظيم، وله علي وجه خاص ما ياتي: اقتراح استراتيجيه الدين العام واي تعديلات عليهها; اقرارها من الجهه المختصه، وذلك وفق الاجراءات النظاميه المتبعه. اقرار السياسات العامه لمركز وظطه عمله وخطط والتشغيليه، في اطار سياسات الدوله الماليه والاقتصاديه. اقرار هيكل المركز التنظيمي. اقرار اللوايم الماليه والاداريه لاعمال المركز بالاتفاق مع وزاره الماليه. وغيرها من اللوايم الداخليه للازمه لتسير شؤونه. اقرار اللوايم الفنيه والاجراءات والقواعد والمعايير المتعلقه بعمل المركز. الموافقه علي مشروع ميزانيه المركز، وسبابه الختامي، وتقرير مراجع الحسابات، والتقرير السنوي; تمهيدا لرفعها بحسب الاجراءات النظاميه المتبعه. الموافقه علي ابرام دكلمات التهامات والتفاعيات والعفود وعيرها من الوثايق، وفقا للوايح المركز والاجراءات النظاميه المتبعه. تعيين مراجع حسابات خارجي متعتمد، ومراقب مالي داخلي. الموافقه علي فتح حسابات بنكيه للمركز خارج المملكه. اعتماد المقابل المالي للخدمات الاستشاريه التي يقدمها المركز وفقا 10 لتنظيمه. النظر فيما يحال الي المركز من الويز. والمجلس تشكيل لجان دامنه او موقته من بين اعطانه او من سواهم، يعهد اليها بما ياره من مسا من همات، ويحدد قرار تشكيل كل لجنه رييسها واعضاءها واتصاصاتها، ولذلك اللجان الستعانه بمن تراه لتاديه المهام المنوطه بها. والمجلس شكلت تفويض اي من اختصاصاته الي الرييس التنفيذي او الي من ياره من منسوبي المركز، وفق ما تقطيه مصلحه العمل. www.ndmc.gov.sa - 4 - [Non-Text] المركز الوطني للاعلان NATIONAL DEBT MANAGEMENT CENTER The National Debt Management Center Statute Article (7) 1. Board meetings shall be held at the Center's headquarters, and may be held elsewhere inside or outside the Kingdom of Saudi Arabia as deemed appropriate. 2. The Board shall convene once every three months upon an invitation from the Chairman, or whenever deemed appropriate according to the Chairman, and the Chairman shall invite the Board to meet whenever at least two members request a meeting. The meeting invitation shall be sent by the Chairman in writing, at least seven days in advance, provided that the meeting invitation includes the agenda, its location and how it will be held. 3. Board meeting shall be deemed valid if attended by a majority of the members, including the Chairman or his appointee. 4. Board Decisions shall be made by a majority vote of its attending members. In case of a tie, the chairman of the meeting shall have the casting vote. 5. The Board's deliberations and resolutions shall be recorded in minutes signed by the chairman of the meeting and the attending members. A member may state a justified objection in the minutes. 6. Members shall not abstain from voting, nor vote by proxy. 7. Except as provided for in Paragraph (6) of this Article, the CEO may not vote on decisions related to the CEO's term of office renewal or dismissal, or relating to the rewards or privileges the CEO receives. 8. The Board may invite specialists and consultants - whether from inside or outside the Kingdom - to attend the meeting in a non-voting capacity. 9. Meetings may be held and voted on remotely, through the use of technology. Resolutions may be adopted by circulation among the members and signed which indicates that the members have reviewed them, such resolutions shall not be deemed valid unless voted on by all of the Board members, and the resolution shall not be effective unless it is adopted by majority vote of not less than two thirds of the Board members. The adopted resolutions shall be presented before the Board at the first following meeting, and shall be recorded in the meeting minutes. تنظيم المركز الوطني اداره الدين الماده السابحه 1. تعقد اجتماعات المجلس في قمر المركز، ويجوز عند القتضاء عقدها في مكان اخر داخل المملكه او خارجها. يجتمع المجلس مره كل ثله اشعر، بناء علي دعوه من رييسه وكلماء حده الي ذلك بحسب ما يقدره الرييس، وعلي الرييس دعوه المجلس الي الجمام متي طلب ذلك عضوان من اعطاء علي الغل. ويجب ان توجه الدعوه كتابه قبل موعد الاجتماع بسبعه ايام عمل علي الغل، علي ان يتضمن جدول اعمال الجمام مكانه وطريقه انعقاد. 3. تنعقد اجتماعات المجلس بحضور اغلبيه اغطانه علي الل، بمن فيهم الرييس او من ينيبه. 4. تصدر قرارات المجلس باغلبيه اصولات اعضايه الحاضرين، وفي حاله تساوي الاصولات يرجع الجانب الذي صوت مه رييس المجتمع. 5. تثبت مداولات المجلس وقراراته في محاضر يوقعها رييس المجتمع والاعضاء الحاضرون، وللعضو المعترض ان يثبت اعترضه مسببا في المحضر. 6. لا يجوز لاي عضو من اعضاء المجلس المتناع عن التصويت او تفويض عضو اخر بالتصويت عنه عند غيابه. 7. استثناء مما ورد في الفقره (6) من هذه الماده، لا يجوز للرييس التنفيذي التصويت علي القرارات التي تتعلق بتجديد مده شغله المنصب او بعزله او تتعلق بما يتلقي من مكافات او مزايا. 8. يجوز للمجلس ان يدعو لссضور اجتمعاته من يري - الاستعانه بهم من المختسين والمستشاريين - سواء من داخل المملكه او خارجها- دون ان يكون له حق التصويت. 9. يجوز ان تعقد الاجتماعات وان يهوت عليها عن بعد، من خلال استخدام وسايل التقنيه. يمكن ان تتخذ القرارات بطريق التمرير علي الغضاء ويقعون عليهما بما يفيد اطلاعهم عليهما، ولا تعد القرارات المتخذ هذه الطريقه صحيحه ما لم يهوت عليهما جميع اعضاء المجلس، ولا يكون القرار نافذا الا اذا حاز علي اغلبيه الشيين علي الاقل. ويعرض القرار المتخذ به هذه الطريقه علي المجلس في اول اجتماع لحق امنات في محضر الاجتماع. www.ndmc.gov.sa - 5 - [Non-Text] The National Debt Management Center Statute Article (8) The Center shall have a Chief Executive Officer appointed and relieved of his duties by the Board. The resolution shall determine the CEO's salary and financial benefits. The CEO shall be responsible for managing the Center's affairs. These responsibilities shall be within the limits stipulated in the Statute and what the Board decides or delegates to him. The CEO specifically is empowered to: 1. Propose and submit the Center's general policies, action and operational plans; and oversee their implementation upon the Board's approval. 2. Prepare periodic measuring and monitoring reports on the Kingdom's public debt situation, including risk management, compliance, evaluating funding sources and analyze their impact on the public debt portfolio, and submit them to the Board. 3. Propose the Center organizational structure, financial, administrative and technical regulations, and other regulations necessary for the Center's workflow, and submit them to the Board. The CEO shall supervise their implantation after they are approved. 4. Submit periodic reports on the Center's work, achievements and activities to the Board. 5. Submit proposals to the Board regarding matters and topics falling within its jurisdiction and competence. 6. Follow up the implementation of the resolutions related to the Center's work, and undertake the powers vested in him by Board's decisions and the Center's regulations, and implement any other tasks assigned to him by the Board. 7. Issue the necessary resolutions to implement the provisions of the Statute and adopted rules and procedures by virtue of the powers vested in him. 8. Disbursement from the Center's budget and take all financial procedures in accordance with the approved laws and regulations and powers delegated to the CEO by the Board. 9. Supervise the preparation of the Center's draft budget, annual report, and final accounts, and submit them to the Board. 10. Hire and supervise workers for the Center in accordance with the Center's regulations. 11. Contract with experts, consultants and highly skilled consulting firms from inside or outside the Kingdom to achieve the Center's objectives and competencies, in accordance with the Center's regulations and statutory procedures. 12. Sign agreements, memoranda of understanding, contracts and other documents, after the Board's approval and in accordance with the statutory procedures. 13. Represent the Center before courts, administrative authorities and other relevant bodies whether inside or outside the Kingdom. The CEO may delegate such representation to others. 14. Any other undertaking assigned by the Board. The CEO may delegate any of his/her powers to any employee of the Center. تنظيم المركز الوطني اداره الدين الماده الثامنه يكون للمركز رييس تنفيذي يعين ويعفي من منصبه بقرار من المجلس، ويحدد القرار اجرهم ومزايله الماليه الاخري، ويكون المسول التنفيذي عن اداره المركز واعماله اليوميه، وتتركز مسؤولياته في حدود ما يعن عليه التنظيم وما يقرره المجلس او يفوضه به، وله بوجه خاص ممارسه الاحتفاصات :الاتيه اقتراح سياسات المركز العامه وخطه عمليه موله وخططه التشغيليه: ورفعها الي الممجلس ومتابعه تنفيذها بعد اقرارها. اعداد تقارير قياس ومتابعه دوريه عن اوضع المديويه العامه للدوله، بما يشمل تقرير اداره المخاطر والالتزام وتقويم مصادر التمويل وتحليل اثرها علي محطه الدين العام، ورفعها الي المجلس. اقتراح هيكل المركز التنظيمي ولوايحه الاداريه والماليه والفنيه والجراعات والقواعد والمعايير للازمه لتسير اعماله، ورفعها الي المجلس اقرارها، والاشراف علي تنفيذها بعد اقرارها. رفع تقارير دوريه الي المجلس عن اعمال المركز ومنجزاته و套شاطته. تقديم المقترحات والتوصيات الي المجلس في شان المضوعات الداخله في اختصاص. متابعه تنفيذ القرارات ذات الصله باعمال المركز، ومباشره ما تحوله اياه قرارات المجلس والوايم المركز من اختصاصات، وما يكلفه به المجلس من مهمات. اصدار القرارات اللازمه لتنفيذ احكام التنظيم واللوايم والقواعد والبجراءات المعتمده، وذلك حسب الصلاحيات المفوضه اليه. الصرف من ميزانيه المركز، واتخاذ جميع الاجراءات الماليه وفقا للانظمه واللوايح المقرره، وفي الحدود الصلاحيات التي يفوظه بها المجلس. الشراف علي اعداد مشروع ميزانيه المركز وссابه الختامي وتقيرده السنوي، ورفعها الي المجلس. تعيين العامين في المركز والاشراف عليه وفقا لما تحدد لوانم المركز. التعاقد مع الخبراء والمستشارين وبيوت الخبره من داخل المملكه او خارجها بما يخدم اهداف المركز و اختصاصاته، وفقا لما تحدده لوايح المركز، واليجراعات النظاميه المتبعه. التوقيع علي التفافيات ومذكرات التفاهم والعقد وغيرها من الوثايق، بعدموفقه graduالمجلس ووفقاليجراعات النظاميه المتبعه. تمثيل المقرز امام الجهات القطانيه والتداريه وغيرها من الجهات داخل المملكه وخاصه وخاصها، وله تفويض غيره بذلك. اي اختصاص اخري يسنده اليهم مكلس. وللرييس التنفيذي تفويض اي من اختصاصاته الي غيرهم من منسوبي المركز. www.ndmc.gov.sa - 6 - المركز المطبيق المطلوب المركز المطبيق المطلوب The National Debt Management Center Statute Article (9) The Center's employees shall be subject to the provisions of the Labor Law and the Social Insurance Law. Article (10) 1. The Center shall have an independent annual budget. 2. The fiscal year of the Center shall be that of the Kingdom, with the exception of the first fiscal year commencing on the date of the issuance of the Statute and ending at the end of the next fiscal year of the Kingdom. Article (11) 1. The Center's financial resources shall consist of the following: A. What is allocated to it in the Kingdom's general budget. B. Financial returns in exchange for advisory services provided, in accordance with the provisions of the Statute. C. Any other resource approved by the Board not in violation of regulations and instructions. 2. The Center's funds shall be deposited to a current account of the Ministry of Finance of the Saudi Arabian Monetary Agency. 3. The Center shall open an account at the Saudi Arabian Monetary Agency and may open other accounts in any of the licensed banks inside or outside the Kingdom. Disbursements shall be made from such accounts as per the Center's budget. Article (12) The CEO shall submit to the Board an annual report on the Center's achievements during the past year, the difficulties it has encountered, and propose suggestions to improve its workflow. تنظيم المركز الوطني اداره الدين الماده التاسحه يخض مسوبو المركز لنظام العمل ونظام التامنات الاجتمعیه. الماده الحاشره يكون للمركز ميزانيه سنويه مستقله. السنه الماليه للمركز هي السنه الماليه للدوله، واستثناء من ذلك تبدا السنه الماليه الاولي للمركز من تاريخ نفاذ التنظيم، وتنتهي بنهايه السنه الماليه التاليه للدوله. الماده الحاديه عشره تتالف موارد المركز الماليه من المصادر التييه: ما يخصص له في الميزانيه العامه للدوله. ب. المقابل المالي الذي يتقاضاء عن الخدمات الاستثماريه التي يقدمها وفقا لتحكام التنظيم. ٥. اي مورد اخري يقره المجلس بما لا يخالف النظمه والتعليمات. ٢. تودع جميع ايرادات المركز في حساب حياز وازاه الماليه في مؤسسه النقد العربي السعودي. ٣. ي F T M C M R K Z H S A L A F H Y S S S E Q H E R H Y S S S E Q H E R H Y S S S E Q H E R H Y S S S E Q H E R H Y S S E Q H E R H Y S S S E Q H E R H Y S S E Q H E R H Y S S E Q H E R H Y S S E Q H E R H Y S S E Q H E R الماده الثانيه عشره يرفع الرييس التنفيذي الي المكالمس تقريرا ستونيا عما حققه المركز من انجازات خلال السنه المنضيه وما واجهه من صعوبات وما يRARه من مقرحات لتحسين سير العمل فيه. www.ndmc.gov.sa -7- [Non-Text] المزجل الامتباره الدرب NATIONAL DEBT MANAGEMENT CENTER The National Debt Management Center Statute Article (13) Without prejudice to the power of the General Court of Audit to the audit of the Center accounts and transactions, the Board shall appoint one or more external auditors of a natural or legal personality, licensed to operate in the Kingdom, to audit the Center's accounts, transactions, statements, and final account and the Board shall determine their fees. The auditor report shall be submitted to the Board for approval, and a copy thereof shall be furnished to the General Court of Audit.
