تعميم الموضوع: تعليمات تقرير الاستثمار واداره الاصلول والالتزامات Subject: Investment and Asset Liability Management Report's Instructions Dear CEO, Dear CCO, Greetings, الرقم: ت.ع.م/٢٢٩/٢٠٢١١ التاريخ: ٢٠٢١/١١/٢١ سعاده الرييس التنفيذي مسول الالتزام السلام عليكم ورحمه الله وبركاته. These instructions are issued with reference to Article (60) of the Actuarial Work Rules for Insurance issued by the Governor's decision number (441/186) dated 06/07/1441H, wherein the Appointed Actuary of an Insurance Company "Company" is required to submit investment and asset liability management report "Report" to SAMA, the Company's Senior Management, and its Board of Directors. The Company shall produce the report as per the timetable specified in the Schedule of Actuarial Submissions, issued by SAMA, in respect of each calendar year. اشاره الي الماده (60) من ضوابط الاعمال الاكتواريه المتعلقه بالتامين الصادره بموجب قرار المحافظ رقم (١٨٦/٤٤١) وتاريخ ٥٠٦/٠٧/٠٦ ه، التي تنص علي ازام الاكتواري المعين لشركه التامين "الشركه" اعداد وتسليم تقرير الاستثمار واداره الاصل والالتزامات " التقرير" بشكل دوري للبنك المركزي السعودي والاداره العليا للشركه ومجلس ادارتها. يتعين علي الشركه اعداد وتسليم التقرير وفق الموعد المحدد في الجدول الزمني لتسليم التقارير الاكتواريه الذي يصدر عن البنك المركزي لكل عام. الهدف - Enable the Company's Senior Management and Board of Directors to make informed decision on the Company's تمكين الاداره العليا للشركه وجنس ادارها من اتحاذ قرارات مدروسه بشان استثمارات الشركه واداره اصولها والتزاماتها. investments and assets liability management. - Provide recommendations to the Company's Senior Management and Board of Directors regarding the Company's investment policy and asset liability management strategy, keeping in view the nature and timing of insurance contract assets and liabilities and the availability of appropriate assets. Report The Report shall, at a minimum, comprise the following sections: 1. Data This shall include, at a minimum, the following: a) Detailed description of the data used for the analysis, including the source(s) of data, and data validation performed. b) Limitations of data, if any, and plans for remediation. c) Description of the Company's Investment Policy approved by SAMA. 2. Methodology & Assumptions The analysis shall include, at a minimum, the following: a) Methodology used for the calculation of the duration of assets and liabilities. b) Methodology for assessing the suitability of the Investment Policy. تقديم التوصيات للاداره العليا للشركه ومجلس ادارتها فيما يخص السياسه الاستثماريه للشركه واستراتيجيتها في اداره الاصل والالتزامات، مع مراعاه طبيعه اصول والالتزامات عقود التامين وتوقيتها ومدي توفر الاصول المناسبه. يتعين ان يتكؤن التقرير بحد ادني من العناصر الاتيه: : البيانات تتضمن بحد ادني الاتي: ا. وصف مفصل للبيانات المستخدمه في التحليل ومصادر البيانات واجراءات التاكد من صحه البيانات. ب. جوانب القصور في البيانات - ان وجدت - وحلولها. ج. وصف للسياسه الاستثماريه الخاصه بالشركه والحاصله علي موافقه البنك المركزي. ٢. المنهجيه والافتراضات: يتضمن التحليل بحد ادني الاتي: ا. المنهجيه المستخدمه لحساب مدد الاصول والالتزامات. ب. منهجيه تقييم مدي ملامعه سياسه الاستثمار في الشركه. التقرير يتعين ان يتكؤن التقرير بحد ادني من العناصر الاتيه: . ١ البيانات: تتضمن بحد ادني الاتي: ا. وصف مفصل للبيانات المستخدمه في التحليل ومصادر البيانات واجراءات التاكد من صحه البيانات. ب. جوانب القصور في البيانات - ان وجدت - وحلولها. ج. وصف للسياسه الاستثماريه الخاصه بالشركه والحاصله علي موافقه البنك المركزي. ٢. المنهجيه والافتراضات: يënضمن التحليل بحد ادني الاتي: ا. المنهجيه المستخدمه لحساب مدد الاصول والالتزامات. ب. منهجيه تقييم مدي ملامعه سياسه الاستثمار في الشركه. c) Assumptions used, along with their justification. If an assumption is based on external sources, those external sources shall be identified. d) Assessment of compliance of the Company's current investments with its Investment Policy as well with SAMA's Investment Regulations. ج. الفرضيات المستخدمه ومسوغاتها، وفي حال كانت احد الفرضيات مبنيه علي مصادر خارجيه، يجب توضيع تلك المصادر. د. تقييم مدي التزام استثمارات الشركه بالسياسه الاستثماريه للشركه ولوايح الاستثمار الخاصه بالبنك المركزي. 3. Results and Recommendations This shall include, at a minimum, the following: a) Recommendations regarding the Investment Policy. b) Recommendations regarding the Asset-Liability management strategy. c) Detailed rationale supporting the above recommendations. In addition, the Appointed Actuary shall fill out the spreadsheet template “Template” provided in Appendix (1) which is designed to capture the summary of the above Report. Appointed Actuary and Board of Directors Responsibilities The Appointed Actuary must present his recommendations stated in the Report to the Board of Directors within two months of the date of producing the Report. The relevant extract from the minutes of the Board meeting, clearly identifying whether the Board accepted or rejected the above recommendations, in part or in full, must be submitted to SAMA within one month of the date of holding the Board meeting. : 3. النتايج والتوصيات تتضمن بحد ادني الاتي: ا. توصيات بشان سياسه الاستثمار. ب. توصيات بشان استراتيجيه اداره الاصول والالتزامات. ج. تقديم مسوغات م-fصله تدعم التوصيات المذكوره اعلايه. كما يتعين علي الاكتواري المعين تعينه نموذج اداره الاستثمار (١) والاصول والالتزامات "المنوذج" المضمن في الملحق رقم والمصمم لتلخيص التقرير المذكور اعلاه. مسؤوليات الاكتواري المعين لمجلس اداره الشركه يتعين ان يقدم الاكتواري المعين توصياته الوارده في التقرير الي مجلس الاداره في غضون شهرين من تاريخ اصدار التقرير. كما يتعين تقديم الاجزاء ذات الصله من محاضر اجتمع مجلس الاداره، والتي تënضمن بوضوح موافقه المجلس او رفضه للتواصيات المذكوره اعلاه، كلا او جزييا، الي البنك المركزي خلال شهر واحد من تاريخ انعقاد اجتمع المجلس.
