Chapter One: General Provision
الفصل الاول: احكام عامه
Article (1): Definitions
Wherever contained herein, the following terms and expressions shall have the meanings ascribed thereto unless the context otherwise requires:
Statute: The Special Integrated Logistics Zone Law issued by Royal Order No. A/17 dated 02/01/1440H.
Zone: The Special Integrated Logistics Zone (SILZ) at King Khalid International Airport.
Department: SILZ Department.
Regulations: The Investment Regulations for the Zone.
Governing Body: The General Authority for Civil Aviation (GACA).
Kingdom: The Kingdom of Saudi Arabia.
Mainland: The territory of the Kingdom, excluding the Zone.
Zone Activities: The activities specified in Article (6) of the Statute.
Zone Entity: Any company or branch of a company that engages in one or more of the Zone Activities within the Zone.
Targeted Sectors: As defined and mentioned in Appendix (1) of these Regulations.
Application: An application submitted by the investors in accordance with the

يكون للكلمات والعبارات الاتيه — اينما وردت في هذه اللانحه — المعاني المبينه امام كل منها ما لم يقتض السباق معني اخري:

المنطقه: المنطقه الخاصه اللوجستيه المتكامله
بمطار الملك خالد الدولي.
الاداره: اداره المنطقه.
اللانحه: لانحه الاستثمار الخاصه بالمنطقه.
الجهه المختصه: الهينه العامه للطيران المدني.
المملكه: المملكه العربيه السعوديه.
الارض الرييسيه: اقليم المملكه ما عدا المنطقه.
انشطه المنطقه: الانشطه المحدده في الماده
(السادس) من تنظيم.
المنشاه القايمه: اي شركه او فرع شركه
يمارس داخل المنطقه نشاط او اكثر من
انشطه المنطقه.
القطاع المعني: القطاعات المنصوص
عليها في ملحق رقم (1) من هذا الالانحه.
نموذج الطلب: الطلب المقدم من المستثمر
وفقا للاجراءات والمستندات المنصوص

procedures and documents stipulated in Chapter (2) and Chapter (3) of these Regulations.
Investor: Legal entity, who desires to establish an entity to carry out Zone Activities.
License: The permit or approval granted by the Governing Body to Zone Entities to carry out one or more Zone Activities in within the Zone.
Laws and Regulations of the Zone: All published laws, regulations, and the rules of the Special Integrated Logistics Zone
Companies Regulations: The SILZ Companies Regulations.
Operating Manual: Guide for working conditions and controls in the SILZ.
Preamble:
These Regulations outline the terms, conditions, prerequisites, and qualifications needed to obtain the required License to carry out one or more of the Zone Activities within the Zone as stated in Article (6) of the Statute.
These Regulations further outline the processes, procedures, and documents required for submission of an application for licensing, the licensing fees and license periods, as well as the violations of the licensing terms, regulations, rules or decisions issued by the Governing Body in accordance with the laws and regulations of the Zone.

المستثمر: الشخصيه الاعتباريه التي ترغب
بتاسيس منشه لممارسه انشطه المنطقه.
الترخيص: التصريح او الموافقه الذي تمنحه
الجهه المختصه للمنشيات القايمه للقيام بنشط
او اكثر من انشطه المنطقه في المنطقه.
انظمه ولوايح المنطقه: جميع انظمه ولوايح
وقواعد وقرارات الخاصه بالمنطقه المنشوره
لانحه الشركات: لانحه الشركات الخاصه بالمنطقه
الدليل التشغيلي: دليل شروط وضوابط العمل في
المنطقه.
المقدمه:
تنص هذه اللاتحه علي الشروط
والالحكام، ومعابير تاهيل المستثمرين
المطلوبه للحصول علي الترخيص
لممارسه نشاط او اكثر من الانشطه
المنصوص عليها في الماده السادسه من
التنظيم.
كما تتضمن اللاتحه الاليات والاجراءات
والمستندات المطلوبه لتقدم طلب
الترخيص، والمقال المالي للترخيص
ومدته، وتنص علي المخالفات في حال
تبين عدم التزام المنشنات باللوايح او

The provisions set forth in these Regulations shall apply to applicants that desire in carrying out the Zone Activities, as well to established Zone Entities.
القواعد او القرارات الصادره عن الجهه
المختصه.
وتسري الاحكام الوارده في هذه اللايحه
علي المستثمرين الذين يرغبون بمارسه
الانشطه داخل المنطقه والمنشات القايمه
في المنطقه.
Chapter Two: Investor Qualification Requirements
Article (2): Eligibility Criteria for Investors
Investors shall satisfy one of the eligibility criteria set forth below to be eligible to register and establish a Zone Entity within the Zone:
الفصل الثاني: شروط تاهيل المستثمرين
الماده (٢): معابير تاهيل المستثمرين
يلترم المستثمر ب تحقيق احد معابير التاهيل
المذكوره ادناه حتي يتمكن من التسجيل واشناع
شركه داخل المنطقه الخاصه اللوجستيه المتكامله:
1. Sector Leaders Category:
to satisfy the criteria the Investor shall be one of the top one hundred (100) leaders in the Targeted Sectors.
a. The Investor must be a publicly listed company on a recognized stock exchange market; or,
b. A private company with annual revenue exceeding five hundred (500) million dollars; and,
c. carries out commercial activities on at least three continents in his Targeted Sector.
١. فيه رواد القطاعات:
لاستيفاء معابير التاهيل، يجب ان يكون المستثمر
من اهم مايه (١٠٠) شركه في القطاع المعني.
ا. ان اسهم الشركه مدرجه في احد الاسواق
الماليه المعتمده; او،
ب. شركه خاصه تتجاوز ايراداتها السنويه مبلغ
خمسمنه [٥٠٠] مليون دولار; و
ت. يمارس نشاطته التجاريه في ثلاث قارات
علي الاقل في القطاع المعني.
2. Logistics Providers Category
To satisfy the criteria, the Investor shall be one of the top fifty (50) leaders in the logistics services sector; or,
٢. فيه مقدمي الخدمات اللوجستيه
لاستيفاء معابير التاهيل، يجب ان يكون المستثمر
من اهم خمسون (٥٥) شركه في قطاع مقدمي
الخدمات اللوجستيه او:

a. The Investor will provide logistics services to one of the sector leaders who carry out their activities in the Zone; and,
b. Has a presence in at least three (3) countries, regionally or globally.
يقوم المستثمر بتقدم الخدمات
الموجستيه لاحد من المستثمرين
الرايدين الذين يمارسون انشطتهم
داخل المنطقه; وان،
ب. يكون له تواجد في ثلاثه (٣) دول
اقليميه او عالميه علي الاقل.
3. Regional Distributors Category
To satisfy the criteria the Investor shall:
A. Possess a strong regional customer base; and,
B. Distribute goods in no less than seven (7) countries within the region.
٣. فيه الموزعين الاقليمين
لاستيفاء معابير التاهيل يجب ان يكون للمستثمر:
، يملك قاعده عملاء اقليميه قويه; وان،
(٧) يقوم بتوزيع بضايعه في سبعه
دول اقليميه علي الاقل
Chapter Three: Licensing Procedures
Article (3) : Licensing Procedures and Conditions
Investors must comply with the following conditions to apply for a License:
1. Submit an Application for registration and licensing in the Zone by filling an electronic application form, with all required documents attached thereto.
2. Submit a detailed file (5) year business plan which must include the following:
2.1 Description of the project including the services provided, activities to be carried out, target customers and target market,

الترخيص
يشترط للتقدم بطلب الحصول علي ترخيص
استيفاء الشروط التاليه:
1. تقدم طلب التسجيل او الترخيص في المنطقه
عن طريق تعبه نموذج طلب التقدم الكترونيا
مرقا به جميع المستندات المطلوبه.
2. تقدم خطه عمل تفصيليه لخصص (٥) سنوات
القادمه، ويجب ان تشتمل علي ما يلي:
٢,١ وصف المشروع علي ان يشمل (الخدمات
المقدمه الانشطه التي سيتم ممارستها
والعملاء المستهدفون والسوق المستهدف

expected volumes and the type of product to be leased, and utilization plan for land plot units only.
2.2 Headcount plan including the adequate number of qualified (full-time) employees to manage and carry out the the Zone activities and who have the necessary knowledge and experience to manage and implement the activities of the Zone and the expected investment volume.
2.3 Expected revenues.
2.4 Expected investment including projected capital and operational expenses that commensurate with the Zone Activities.
3. The Governing Body shall issue its decision regarding the License Application within a period not exceeding five (5) working days from the date of completed Application submission.
4. The Investor must complete the company's incorporation procedures within thirty (30) days from the date of approval by the Governing Body, in accordance with the procedures stipulated in the Zone's Companies Regulations and Operating Manual.
5. The Investor shall lease a unit compatible with the activities to be carried out in the Zone, in accordance with the approved forms and procedures stipulated in the Operating Manual of the Zone, within sixty (60) days from the date of License issuance.
وحجم الشحنات المتوقع، نوع الوحده
المستهدف استنجارها وخطه الاستخدام
لوحه قطع الاراضي فقط).
٢,٢ خطه الموظفين والتي تشمل عدد كافي من
الموظفين المؤهلين (دوام كامل) للاداره
والقيام بانشطه المنطقه والذين يتمتعون
بالمعرفه والخبرات اللازمه لاداره وتنفيذ
انشطه المنطقه وحجم الاستثمار المتوقع.
٢,٣ الايرادات المتوقعه.
٢,٤ حجم الاستثمار المتوقع، والذي يغطي النفقات
الراسماليه والتشغيليه التي تتناسب مع انشطه
المنطقه.
٣. تصدر الجهه المختصه قرارها حيال طلب
(٥) الترخيص خلال مده لا تتجاوز خمسه
ايام عمل من تاريخ التقدم بالطلب المستكمل
لشروطه
٤. علي المستثمر انهاء اجراءات تاسيس الشركه
خلال (٣٠) يوما من تاريخ موافقه الجهه
المنحصه، وفق الاجراءات المنصوص عليها
في لانحه الشركات والدليل التشغيلي الخاص
بالمنطقه.
٥. يلزم المستثمر باستجار وحده مناسبه
لانشطه التي سيقوم بمارستها داخل
المنطقه، وفقا للنماذج المعتمده والاجراءات
المنصوص عليها في الدول التشغيلي الخاص
بالمنطقه وذلك خلال (60) يوم من تاريخ
اصدار الترخيص.

6. The Governing Body may request additional documents deemed necessary to support the License Application.
٦. للجهه المختصه طلب المستندات في حال
حاجتها وذلك لدعم مقدم طلب الرخصه.
7. The Investor shall pay the Fees for Application of registration and licensing in the Zone, as stipulated in Article (5) of these Regulations.
8. In case of Application rejection:
a. The Governing Body shall provide to the applicant clear and transparent justification for rejection.
b. The applicant shall have the right to submit a request for reconsideration to the Governing Body within thirty (30) working days from the date of the rejection decision, in accordance with the procedures set therein.
٧. يلترم المستثمر بسداد المقال المالي لطلب
التسجيل في المنطقه، كما هو منصوص عليه
في الماده (5) من هذه الالانحه.
٨. في حاله رفض الطلب:
ا. تصدر الجهه المختصه لمقدم الطلب قرار
الرفض مسبا بشكل واضح وشفاف.
ب. يحل لمقدم الطلب التقدم خلال مده [30]
يوم عمل من تاريخ صدور قرار الرفض
بطلب اعاده نظر للجهه المختصه وفقا
لاجراءات التي تضعها لهذه الغايه.
Article (4): Licensing Terms
1. The Governing Body shall determine the term of the License in accordance with the submitted Application & business plan.
2. The established entity may submit a License renewal request for one or several similar periods to the Governing Body no less than thirty (30) days before the expiry date of the License, taking into account the fulfillment of all the conditions stipulated herein and the payment of the fees.

٢. يكون الترحيص قابل للتجديد لمده
ممانيله او مدد اخري مماثله بناء علي
طلب مقدم من المنشاه القايمه للجهه
[٣٠] المختصه خلال ما لا يقل عن
يوما قبل انتهاه مده الترحيص، مع
مراعاه استيفاء جميع الشروط
المنصوص عليها في الالانحه وسداد
المقابل المالي.

Article (5): Fees

للهجه المختصه اعفاء اي من المنشات من المقال
المالي شريطه ان يكون الاعفاء مبررا تقدمه
الاداره.
Chapter Four: Obligations
Article (6): Entity Obligations
1. Zone Entities must comply with the following:
a. All issued laws, regulations, orders, directives, procedures, and manuals applicable within the Zone.
b. Comply with the conditions and restrictions of the License.
c. Providing true, accurate and complete information upon request by the competent authorities.
d. Cooperating with Zone employees responsible for enforcing Zone statutory provisions and enabling them to perform their duties to the fullest.
e. Notifying the Governing Body of any changes to the data of the Zone Entity within three (3) business days.
2. All Entities shall adopt electronic information systems capable of:

الماده (٥): التزامات المنشيات
1. تلتزم جميع المنشيات القايمه في المنطقه بما
يلي:
ا. الالتزام بجميع الانظمه واللوايح
والوا Omar والتوجيهات والاجراءات
والادله الصادره المطبقه في المنطقه.
ب. الالتزام بشروط الترخيص وقبودها.
ت. تقدم معلومات صحيحه ودقيقه وكامله
عند طلب الجهات المختصه لها.
ث. التعاون مع موظفي المنطقه المسولين
عن تنفيذ الاحكام النظاميه في المنطقه
وتمكينهم من اداء واجباتهم علي اكمل
. وجه
ج. اخطار الجهه المختلفه فورا باي
تعديلات قد تطرا علي بيانات المنشاه
خلال (٣) ايام عمل.
2. All Entities shall adopt electronic information systems capable of:
٢. علي جميع المنشيات اعتماد نظام معلومات
الکترونيه قادره علي ما يلي:

a. Extracting, tracking, managing, and storing documents.
b. Reviewing and updating documents.
c. Viewing documents.
d. Tracking changes to documents.
e. Reading the complexity of the operations carried out by the Entity.
استخراج الوثايق وتتبعها وادارتها
وTZZINHIA.
ب. مراجعه وتحديث الوثايق.
ت. القدره علي عرض الوثايق.
ش. القدره علي تتبع التغيريات التي تطرا
علي الوثايق.
ج. القدره علي قراءه العمليات المعقده التي
تقوم بها المنشاه.
Article (7): Prohibited Activities
Zone Entities are prohibited from the following:
1. Carrying out an activity other than the activities stipulated in the issued License.
2. Assign its License to any party without written consent of the Governing Body.'
3. Amending the legal structure of the Entity without the approval of the Governing Body.
4. Undertaking any act that would impede work in the Zone, conflict with its objectives, or threaten the security of other Zone Entities, Investors, or employees.
5. Possessing goods that violate intellectual, industrial, commercial, literary and artistic property protection laws enforced in the Kingdom.
6. Possessing goods that are legally prohibited from entering the Zone or Mainland in accordance with the relevant regulations.
يحظر علي المنشات القايمه في المنطقه الاتي:
١. مزاوله نشاط غير الاشطه المنصوص عليها
في الترخيص الصادره لم.
٢. التنازل عن الترخيص دون موافقه خطيه من
الجهه المختصه.
٣. تعديل الكيان القانوني للمنشاه دون موافقه
الجهه المختصه.
٤. القيام باي فعل من شانه ان يعيق العمل في
المنطقه او يتعارض مع اهدافها او يهدد امن
المنشات او المستثمرين او الموظفين.
٥. حيازه البضايع المخالفه لقوانين حمايه الملكيه
الفكريه والصناعيه والتجاريه والادبيه
والفنيه المعمول بها في المملكه.
٦. حيازه البضايع الممنوع دخولها الي المنطقه او
الارض الرييسه وفق الانظمه.

Chapter Five: Regulatory Powers
Article (8): Audit and Review
1. The Governing Body shall set a periodic Zone Entity inspection program.
2. The Governing Body may seek the assistance of the relevant authorities when necessary.
3. Zone Entities shall enable inspectors to perform their duties upon presentation of their credentials or an official letter by the Governing Body stating their appointment as inspectors.
4. Zone Entities shall not prevent Inspectors or hinder them from carrying out their duties, and Inspectors shall document any attempt to prevent or hinder them from doing carrying out their duties, in order to allow for the necessary measures to be taken in that regard.
5. The Governing Body shall conduct audits and reviews to verify Zone Entity compliance with the licensing procedures and the submitted business plan on an annual basis.
6. The Governing Body may impose penalties on Zone Entities founds to be non-compliant with or in violation of the Laws and Regulations of the Zone or decisions issued by the Governing Body in accordance with the Laws and Regulations of the Zone the provisions of Chapter (6) hereof.
الفصل الخامس: الصلاحيات التنظيميه
الماده (8): الرقابه والمراجعه
1. تضع الجهه المختصه برنامجa دوري للتفيتش
علي المنشات.
٢. يجوز للجهه المختصه الاستعانه بالجهات ذات العلاقه اذا تطالب الاذل.
٣. يجب علي المنشاه القايمه تمكين من يقوم
باعمال التفتيش من اداء مهامه فور ابراز
اوراق ثبوتيه او خطاب يفيد تسميته من الجهه
المعنيه مفتشنا.
٤. يجب علي المنشاه عدم منع او اعاقه المفتشين
من القيام باعمال التفتيش، واذا تم منعم او
اعاقتهم من قيام اعمالهم فيقوم المفتش بتوثيق
ذلك في محضر؛ لاتخاذ الاجراءات اللازمه.
٥. تتولي الجهه المختصه التدقيق والمراجعه
والتحقق من التزام المنشيات القايمه
باجراءات وشروط الترخيص وخطه العمل
المقدمه بشكل سنوي.
٦. للجهه المختصه تطبيق المخالفات علي
المنشيات القايمه في حال تبين عدم التزام
المنشيات باللوايح او القواعد او القرارات
الصادره عن الجهه المختصه وذلك وفقا لما
ورد في الفصل (٦) من هذه الالخته.

Chapter Six: Violations
الفصل السادس: المخالفات
Article (9): Violations
الماده (٩): المخالفات
1. In the event that a Zone Entity violates any of the conditions and procedures of the licensing procedures or any provisions of this Regulation, or in case of non-compliance of the Laws and Regulations of the Zone or decisions in force in the Zone or any of its approved regulations, or decisions issued by the Governing Body during the duration of its License, the Governing Body may suspend or revoke the license as per the following:
1.1 Notify the Zone Entity of the violation attributed thereto and grant it a corrective period of ninety (90) days from the notice date.
1.2 The Governing Body may suspend the License in the event of failure to remedy the violation within the ninety (90) day corrective period from the notice date.
1.3 In the event of recidivism within three (3) years from the date of the first violation, the Governing Body shall grant the Zone Entity an additional ninety (90) day corrective period as per the sub-article (1.2) mentioned above, in the event of failure to remedy the violation within the granted corrective period, the Governing Body has the right to revoke the License of the Zone Entity.
1 - في حال قامت المنشاه القايمه بمخالفه اي
من شروط اجراءات الترخيص او اي من
احكام هذه اللانحه، او في حال عدم
الالتزام بالانظمه او القواعد او القرارات
المعمول بها في المنطقه او اي من لواحها
المعتمده، او القرارات الصادره عن الجهه
المختصه اثناء سريان مده الترخيص،
يجوز للجهه المختصه الغاء او تعليق
الترخيص وفقا للاتي:
1,1
انتار المنشاه القايمه بالمخافه المنسوبه
اليها مع منحها فتره تصحيحيه متدها تسعون
(٩٠) يوم من تاريخ الانظر.
1,2
يحق للجهه المختصه تعليق الترخيض في
(٩٠) حاله عدم تصحيح المخالفه خلال تسعون
يوم من تاريخ الابلاغ.
1, 3
في حال تبين تكرار المخالفه ذاتها خلال
ثلاثه (٣) سنوات من تاريخ المخالفه الاولي،
يتم منح فتره مدتها تسعون (٩٠) يوم لتصحيح
المخالفه وفقا للقفره (١,٢) اعلاه، وفي حال
عدم تصحيحها خلال المده الممنوعه، يحق
للهيه المختصه النظر في الغاء ترخيص
المنشاه القايمه.

2. In the event that the Zone Entity does not take measures to remedy the violation within a period of one hundred eighty (180) days of the date of License suspension, the Governing Body has the right to revoke the License.
3. The Governing Body shall not suspend or revoke any Zone Entity License without prior notification of the violation attributed to the Zone Entity and the end of the granted corrective period.
4. Penalties stipulated within this regulation, whether License suspension or revocation, shall not infringe upon any other penalties incurred in accordance with the Laws, Regulations, Guidelines or decisions issued by the Governing Body.
5. The Governing Body shall issue penalties regulation, that will contain the financial penalties to be imposed on Zone Entities in the event of violation of the Laws, Regulations, Guidelines or decisions issued by the Governing Body.
٢- يحق للجهه المختصه الغاء الترخيص بعد مرور مايه وثمانون (١٨٥) يوما من تاريخ تعليق الرخصه في حال عدم اتخاذ المنشاه القايمه ما يلزم لتصحيح الوضع.
٢- لا يحق للجهه المختصه تعليق او الغاء
اي ترخيص للمنشاه القايمه الا بعد
اخطارها بالمخالفه المنسوبه لها وانتهاء
فتره الاخطار.
٤- لا تخل اي عقوبه وارده في هذه اللايحه
سواء تعليق او الغاء الترخيص باي
عقوبه اخري تنص عليها لوايح المنطقه.
5. The Governing Body shall issue penalties regulation, that will contain the financial penalties to be imposed on Zone Entities in the event of violation of the Laws, Regulations, Guidelines or decisions issued by the Governing Body.
٥- علي الجهه المختصه وفق الاجراءات
ال نظاميه اصدار لايحه عقوبات خاصه
بالمنطقه تتضمن غرامت ماليه للمنشات
المخالفه لانظمه، ولوايح، وقواعد،
وقرارات الجهه المختصه.

Chapter Seven: Final Provisions
الفصل السابع: الاحكام الختاميه
Article (10): Grievances
الماده (10): التظلم
1. In the event that a Zone Entity's License is suspended or revoked, the Zone Entity has the right to appeal for reactivation of the License to the Governing Body within sixty (60) days from date of issuance of the decision to suspend or revoke the License. The Governing Body shall issue its decision no later than thirty (30) days of submission of the appeal.
2. The Zone Entity may submit an appeal regarding the decisions issued by the Governing Body on revoking or suspending the License to the competent judicial authorities as per the Laws and Regulations.
Article (11): Effectiveness of The Regulations
1. This Regulation shall enter into force from the date of publication on the Governing Body's official website.
١. في حاله تعليق او الغاء ترخيص المنشاه
القايمه، يحق للمنشاه القايمه تقديم طلب
اعتراض لاعاده تفعيل ترخيص المنشاه
للهجه المختصه خلال ستون (٦٠) يوم من
تاريخ صدور قرار الالغاء او التعليق، وعلي
الجهه المختصه اصدار قرارها بهذا الشان

تاريخ استلام طلب الاعتراض.
٢. يجوز للمنشاه القايمه التظلم علي اي من
قرارات الجهه المختصه بالغاء او تعليق
الترخيص امام الجهات القضاييه المختصه
وفقا لما هو مقرر نظاما.
الماده (١١) : سريان اللاححه
١. يبدا نفاذ هذه من تاريخ نشرها في
منصه الجهه المختصه.
